EC CRM User Service Agreement

1 Acceptance and Scope of Application of the Agreement
1.1 Agreement acceptance
EC CRM is a product launched by Easy Connection (HK) Limited.To use the EC CRM software and services (hereinafter referred to as the "Service"), you shall read and comply with the EC CRM User Service Agreement (hereinafter referred to as the "Agreement"), and users who use the Service are collectively referred to as "you" or "users".Please read and fully understand the contents of each clause carefully, especially the clauses that exempt or limit liability (which may be highlighted in bold).If you use EC CRM services, it is deemed that you have read and agreed to be bound by this agreement, and fully accept all terms under this agreement.
1.2 scope of application
This agreement applies to all products and services we provide to you in the form of websites, software, and new forms that emerge with technological development.This agreement does not apply to products or services provided to you by our affiliated companies, third-party service providers, or other third parties. Such products or services shall be subject to the usage rules otherwise specified by the service provider to you.
2 Service Content and User Qualifications
2.1 service content
EC CRM provides the following services (specific to product page description):
Customer data management (input, tag classification, follow-up records);
Automated marketing (multi-channel mass distribution, task triggering);
Data analysis (sales funnel, AI intelligent report);
API integration (with third-party systems).
Service restrictions: Some features require additional subscription or written permission from EC (such as WhatsApp Business API interface).
2.2 User Qualifications
Individual users must be at least 18 years old and have full capacity for civil conduct, while enterprise users must be legally existing legal entities.
3 Usage norms and prohibited behaviors
3.1 You can obtain EC CRM software directly from our website or from third-party app stores authorized by us.If you obtain software or an installation program with the same name as the software from a third party without our authorization, we cannot guarantee that the software will function properly and will not be responsible for any losses caused to you as a result.Any other software derived from software developed and officially released without our authorization is illegal. Downloading, installing, or using such software may lead to unpredictable risks. We recommend that you do not easily download, install, or use it. Any legal liabilities or disputes arising from this are not related to us and/or our cooperating units.
3.2 We have the right to update the software without special notice or your permission (these updates may take the form of software replacement, modification, feature enhancement, version upgrade, feature upgrade, data parameter or usage adjustment, etc.).After the release of a new version of the software, we do not guarantee that the old version will continue to be available or provide corresponding customer service.We may notify you of software updates through announcements, update logs, software pop ups, and other means, but we do not need to notify you specifically.You can decide whether to upgrade on your own, and if you don't accept it, you may not be able to use some features.
3.3 Without our permission, you are not allowed to copy, duplicate, sell, resell EC CRM software or use it for other commercial purposes such as advertising.
3.4 You should provide truthful, complete, and accurate information during the registration process.If the information you provide is incomplete, you will not be able to use this service or will be restricted during use.All original typed information will be referenced as registration information.Any losses and/or legal consequences caused by inaccurate registration information shall be borne by you, and EC CRM shall not be held responsible.
3.5 The ownership of the EC CRM account belongs to our company. After completing the application registration procedures, the user only obtains the right to use the EC CRM account, which belongs only to the initial applicant for registration.At the same time, the initial applicant for registration shall not gift, borrow, rent, transfer or sell the EC CRM account, or permit non initial applicants to use the EC CRM account in any other way.If we find that the user is not the initial registrant of the account, we have the right to revoke the account without assuming legal responsibility to the user.Non initial applicants are not allowed to use EC CRM accounts through donation, inheritance, leasing, assignment, or any other means.We prohibit you from privately transferring your account for a fee or free of charge to avoid disputes arising from account issues. You will be responsible for any losses incurred as a result of violating this requirement.
3.6 You are not allowed to use false, illegal, or harmful information in your name, avatar, or other information. You are not allowed to impersonate others, register for others without permission, register accounts in a way that may cause other users to mistake them, or use user names that may infringe on others' rights (including but not limited to suspected trademark or reputation infringement).We have the right to review the registration information you submit. For registration information that violates the provisions of this agreement, EC CRM has the right to unilaterally take measures such as not registering, blocking or deleting illegal and irregular content, correcting within a specified period of time, deleting data, suspending use, canceling, revoking the account, and terminating the provision of some or all services to you without notice. Any losses incurred as a result shall be borne by you.If you fail to correct or update the information in a timely manner, resulting in EC CRM being unable to provide services to you as agreed in the agreement, or causing any losses or expenses during your use of EC CRM products or related services, you shall bear the consequences on your own.EC CRM shall not be held responsible for any service suspension or termination caused by the above reasons, and you shall bear all adverse consequences.If this causes losses to EC CRM, you should bear corresponding responsibilities.
3.7 Users are required to bear legal responsibility for their actions under the registered account and password.The user agrees not to disclose account and password information to others under any circumstances.When you suspect that someone is using your account, you should immediately notify our company.The responsibility for data loss or theft caused by your own reasons, as well as the failure to delete or store related data in software and services, shall be borne by you.Under no circumstances should you trust loans, request passwords, or other online information related to property.For those involved in property operations, please verify the identity of the other party first and regularly pay attention to our tips on preventing fraud crimes.
3.8 If the behavior under your account seriously violates the user behavior norms in this agreement or is based on government requirements, EC CRM has the right to cancel your account.
3.9 Regarding any personal information ("Personal Information") generated during your use of EC CRM software and services, as well as collected or provided to you, you shall use this service in accordance with all applicable laws and regulations and fulfill your obligations under this agreement as agreed.The "applicable laws and regulations" referred to in this agreement refer to the laws, regulations, rules, normative documents, and policies of the countries or regions where the information, services, or the aforementioned information and services provided by you through this service can be received.You promise:
Comply with all applicable privacy and data protection laws and regulations that may be revised from time to time, including laws and regulations applicable to personal information, and provide us with necessary information to demonstrate that you have complied with the aforementioned laws and regulations and the provisions of this agreement;
Use and process personal information solely for the purpose of using the software and this service;
Clearly and accurately describe to individuals the personal information you have collected, as well as how to use and share this information with third parties;
Adopt appropriate technological and systematic security measures to protect personal information from unauthorized access or use, and regularly test the effectiveness of the aforementioned security measures;
Ensure that all personnel with access to personal information are bound by confidentiality obligations;
Report any unauthorized access or use of personal information to us and relevant data protection agencies in a timely manner.
In the process of account cancellation, if your account is involved in any of the above situations, EC CRM has the right to suspend or terminate the cancellation process of your account without obtaining your consent separately.If you do not use or log in to EC CRM for more than six months, we will cancel your account and you will be responsible for any losses incurred as a result.After canceling your account, we will delete all the information you entered while using EC CRM products and services, and it cannot be restored. After you cancel your account, we are not obligated to return any data to you.You fully understand and agree that after account cancellation, you will no longer be able to continue using the services provided by EC CRM and will no longer have any rights related to the account.Any inconvenience or adverse consequences caused by account cancellation shall be borne by you.
3.10 Information Content Specification
3.10.1 The information content referred to in this article refers to any content created, copied, published, or disseminated by users during the use of software and services, including but not limited to personal avatars, names, contact information, enterprise information, customer profiles, or text, voice, images, videos, emojis, and other content generated by the use of EC CRM accounts or functional accounts or software and services.
3.10.2 You understand and agree that we have always been committed to providing users with a civilized, healthy, standardized, and orderly online environment.You are not allowed to use EC CRM account or feature account or software and services to create, copy, publish, or disseminate content that interferes with the normal operation of the software or infringes on the legitimate rights and interests of other users or third parties, including but not limited to:
3.10.2.1 Publishing, transmitting, disseminating, and storing content that violates laws and regulations: (1) violating the basic principles established by the Constitution and laws of the People's Republic of China;(2) Endangering the national security of the People's Republic of China, leaking state secrets, subverting state power, and undermining national unity;(3) Damaging national honor and interests;(4) Those who incite ethnic hatred, ethnic discrimination, and undermine ethnic unity;(5) Disrupting national religious policies, promoting cults and feudal superstitions;(6) Spreading rumors, disrupting social order, and disrupting social stability;(7) Spreading obscenity, pornography, gambling, violence, terror, or inciting crime;(8) Insult or defame others, and infringe upon their legitimate rights and interests;(9) Inciting illegal gatherings, associations, marches, demonstrations, and gatherings to disrupt social order;(10) Engaging in activities under the name of illegal civil organizations;(11) Containing other content prohibited by laws, regulations, and rules.
3.10.2.2 Publish, transmit, disseminate, and store content that infringes upon the legitimate rights of others, such as reputation, portrait, intellectual property, trade secrets, etc;
3.10.2.3 Involving the privacy, personal information or data of others;
3.10.2.4 Posting, transmitting, disseminating harassment, advertising messages, excessive marketing messages, and spam messages or containing any sexual or sexual implications;
3.10.2.5 Other information that violates laws and regulations, interferes with the normal operation of software, and infringes on the legitimate rights and interests of other users or third parties.
3.10.2.6 If you fall under any of the above circumstances, we have the right to unilaterally disable your account or terminate your use of EC CRM at any time, unilaterally terminate the product and service contract signed between your company and us, refuse to provide you with the remaining service period and service support of EC CRM, and we will not refund the fees already paid by your company.
3.10.2.7 Any consequences arising from the above circumstances shall be borne by you, and we shall not be held responsible for them.If your actions cause us losses, you shall bear all direct and indirect economic losses suffered by us, including but not limited to litigation costs, lawyer fees, travel expenses, appraisal fees, and all related expenses incurred by us.
3.11 If you submit an account cancellation application to EC CRM, your account can be cancelled upon approval by EC CRM if it meets the following conditions: the account is in a normal state and does not involve any disputes or controversies, including but not limited to complaints, reports, lawsuits, arbitrations, investigations by competent authorities, or restrictive measures taken by competent authorities;There are no other outstanding rights and obligations or disputes arising from account cancellation in the account;There are no other situations that may affect account cancellation.
3.12 Data Processing Standards
3.12.1 Access and Acquisition.You should limit the access and retrieval of data to personnel who have a genuine need to know the data and have explicitly agreed in writing to fulfill the data processing requirements under this agreement.
3.12.2 Data provision.You promise and guarantee that you are aware of and agree to the purposes, methods, and types of processing of personal information by us.
You promise and guarantee that the data you provide to us or the data processed using EC CRM products and services is true, accurate, and complete, and that the data was obtained through legal and legitimate means, not through theft or other illegal means.You provide us with data or use EC CRM products and services to process data without endangering national security, public interests, or harming the legitimate rights and interests of individuals or organizations.
Under this agreement, when using EC CRM products and services, you agree to authorize and entrust us to process the data you collect and provide as described below.
3.12.3 Personal Information Protection Impact Assessment.You should complete a personal information protection impact assessment of data processing activities in accordance with legal requirements and applicable circumstances.
3.12.4 Record and Review.You should keep a record of the data processing situation ("data processing record"), which should include the type of data processed, the purpose of processing, the processing method, and the protective measures taken. The data processing record should be kept for at least three years.
3.12.5 Response to Claims.You should fulfill your obligation to respond to requests for personal information subject rights in accordance with relevant laws and regulations, including but not limited to the right to access, correct, delete, and withdraw consent.When you receive or become aware of any claims or complaints from personal information subjects and need our assistance in handling them, you should immediately inform us;When we need your assistance in handling claims or complaints from personal information subjects, you should actively cooperate.
3.12.6 Data Security Incidents.In the event of a security incident such as data leakage, tampering, or loss, you should immediately notify us and take remedial measures according to our requirements to effectively avoid any damage to the data subject caused by the data security incident.
3.12.7 Return or destruction of data.You acknowledge and agree that when the relevant business agreement you have signed with us is terminated, becomes ineffective, or revoked:
3.12.7.1 For the deletion of personal information of users of administrator accounts and employee accounts, please refer to the EC CRM Privacy Policy.
3.12.7.2 For the data stored, used or processed by you when using EC CRM products and services, in order to facilitate the renewal of EC CRM products and services, we will continue to retain such data for 6 months;After the expiration of the 6-month period, if you no longer continue to use the relevant products/services, we will delete all personal information entered by you and your legal or non legal entity organization in the processing of personal information in the use of EC CRM products and services. For other types of data (excluding personal information), due to technical reasons, you need to use EC CRM products and services to delete them yourself: if you are an administrator, you can delete them on your own in the enterprise management background;If you do not actively delete it, you agree and authorize us to store such data in a closed manner, and we will no longer actively access or use such data.
3.12.7.3 For data under certain specific functions (excluding personal information), you cannot delete it on your own using EC CRM products and services. If you need to delete it, please contact us and we will respond within 15 working days.
3.12.8 Unable to comply.If you are unable to comply with the relevant obligations of the data processing specifications in this agreement, you should immediately notify us in writing.In this situation, you and we should make every effort to remedy the situation.
3.12.9 You understand and agree that we will make reasonable commercial efforts to ensure the security of your data storage in the EC CRM software. However, we cannot provide absolute guarantees in this regard, including but not limited to the following situations: we are not responsible for the deletion or storage failure of your relevant data in the EC CRM software;We have the right to determine the maximum storage period for individual users' data in EC CRM software based on the actual situation, and allocate the maximum storage space for their data on the server.You can backup the relevant data in the software and services according to your own needs.
3.12.10 Legal Liability.For the data you provide to us or the data processed using products/services, you shall act as a data processor/personal information processor (as applicable) and bear corresponding legal responsibilities for the data processing activities.If you violate the provisions of this agreement and cause us to suffer any losses (including but not limited to claims of rights/infringement made by relevant data subjects, which result in us being ordered/ordered to pay compensation to such data subjects, as well as legal fees, litigation costs, execution fees, etc. incurred by us in relevant civil, administrative, and criminal proceedings), you shall be responsible for compensating us.
3.13 Default Handling
3.13.1 You understand and agree that you are responsible for all actions taken under your registered account, including any content you post and any consequences arising therefrom.You should make your own judgment on the content of this service and bear all risks arising from the use of the content, including risks arising from reliance on the correctness, completeness, or usefulness of the content.We cannot and will not be liable for any loss or damage caused by the aforementioned risks.We have no obligation to pre review, monitor, review, or edit any content written or published by you and other users on this service. When you view content provided by others on this service, you should make your own judgments and assume relevant risks.Without the explicit consent of the relevant rights holder, you are not allowed to use, copy, repost, disseminate, play, display, sell, license or otherwise use such content for any purpose without explicit permission.
3.13.2 If we discover or receive reports or complaints from others about users violating the provisions of this agreement, we have the right to delete or block the relevant content at any time without notice, and impose penalties on the relevant accounts of the violating parties, including but not limited to warnings, restrictions or prohibitions on the use of some or all functions, account bans until cancellation, depending on the circumstances of the behavior, and announce the results of the penalties.We have the right to handle any behavior that violates relevant laws and regulations or the provisions of this agreement based on reasonable judgment, take appropriate legal actions against any user who violates laws and regulations, and report relevant information to relevant departments in accordance with laws and regulations. Users shall bear all legal responsibilities arising from this.
3.13.3 If you violate the provisions of this agreement or related service terms, resulting in or causing any claims, demands or losses claimed by third parties, you shall be solely responsibleWe and/or our cooperating units have the right to demand compensation from you for any losses caused by your illegal or breach of this agreement, and have the right to immediately stop providing services, retain relevant records, and reserve the right to cooperate with judicial authorities to pursue legal responsibilities.
4 Disclaimers
4.1 Third party products and services
4.1.1 You understand and agree that EC CRM software may use third-party products and services (including open source code and public domain code that the software may use, etc., the same below), and such use has been legally authorized.If the software uses third-party products and services, we will display the third-party product and service agreement in accordance with relevant regulations or third-party requirements. The third-party product and service agreement is an integral part of this agreement and has the same legal effect as this agreement. You should comply with these requirements.If you fail to comply with these requirements, the third party or government department may file a lawsuit, impose fines, or take other sanctions against you, and request our assistance. You shall bear legal responsibility on your own.
4.1.2 Before choosing to use third-party services, you should fully understand the product functions, service agreements, and privacy protection policies of the third-party services, and then choose whether to activate the functions and comply with the third-party service agreements and privacy protection policies.We and third parties shall bear their respective responsibilities within the scope of legal provisions and agreements for possible disputes.
4.1.3 The third party assumes full responsibility for the authenticity, legality, and effectiveness of the service information content, data materials, and their operational behavior. We do not guarantee the security, accuracy, effectiveness, or other uncertain risks of providing services and content through third parties. Any disputes or damages arising from this are not our responsibility and we do not assume any liability.
4.1.3 We may make adjustments to the policies and services of this service and third-party applications, which may have an impact on our or third-party services (such as causing the relevant services to no longer be provided on this service, or limiting the service functions of third-party applications). Unless otherwise expressly provided by law, we do not assume corresponding responsibilities.
4.1.4 If you violate the provisions of the third-party service agreement and result in any claims, demands or losses claimed by third parties, you shall be solely responsible for them.If you cause us losses, you agree to compensate us. At the same time, we have the right to take measures, including but not limited to interrupting the use license, stopping the provision of services, restricting the use, revoking your EC CRM account, and pursuing legal action, depending on the nature of your behavior. Our above actions will not be considered as a breach of contract.
4.1.5 We only serve as a platform provider and provide this functional module or service ordering and/or usage portal for your convenience. The relevant applications are independently provided by the third party. Unless otherwise stipulated by laws and regulations and this agreement, we do not assume any responsibility for your use of the application.
4.1.6 We do not provide customer service support for third-party software or technology. If you need support, please contact the third party.
4.2 Limitation of Liability
4.2.1 You understand and agree that during your use of the software, you may encounter the following situations that may cause service interruptions.When the following situations occur, we will promptly cooperate with relevant units for repair, but we will not be held responsible for any losses caused to you as a result.
4.2.1.1 Force Majeure refers to objective events that are unforeseeable, insurmountable, unavoidable, and have a significant impact on one or both parties, including but not limited to natural disasters, government actions, policy adjustments, legal regulations, strikes, riots, etc.
4.2.1.2 Fault of the basic operator, including but not limited to technical adjustments by the telecommunications department, damage to telecommunications/power lines by others, and installation, renovation, and maintenance of telecommunications network/power resources by the telecommunications/power department.
4.2.1.3 Network security incidents, such as computer viruses, trojans or other malicious programs, and damage caused by hacker attacks.
4.2.1.4 If you use the software without our authorization, if you operate it improperly or if your computer software, system, hardware, and communication lines malfunction.
4.2.1.5 Login failure, incomplete data synchronization, slow page opening speed, etc. caused by unstable wireless network signals, small wireless network bandwidth, and other reasons.
4.2.1.6 Other circumstances that are not our fault, beyond our control, or reasonably foreseeable.
4.2.2 If the software cannot be used or either party breaches the contract due to force majeure, the fault of the basic operator, network security incidents, or other events beyond the reasonable control of the parties involved, neither you nor we shall be liable for breach of contract.However, the affected party should promptly notify the other party as much as possible.If the aforementioned event hinders the performance of the agreement for more than 30 days, either party may terminate the agreement by giving written notice to the other party 15 days in advance.If the agreement is terminated due to this clause, neither party shall be liable for breach of contract.
4.2.3 You understand and agree that the software services are provided based on the current state of technology and conditions, and we make no express or implied warranties regarding this service, including but not limited to its applicability, continuity, etc.We will make every effort to ensure the continuity and security of our services, but we cannot guarantee that the services provided are flawless.So you also agree that even if there are defects in the services we provide, if the above-mentioned defects are unavoidable by the industry's technological level at that time, they will not be considered as our breach of contract, and both parties should work together in a friendly manner to solve the problem.
4.2.4 Under no circumstances shall either party be liable for any indirect, incidental, or special damages or losses to the other party, including but not limited to loss of available benefits, fees paid by the other party to third parties, etc. (even if the other party has been informed of the possibility of such losses).
4.2.5 Within the scope permitted by law, we shall not be liable to you for the following situations, regardless of whether we have been informed or should have been aware of the possibility of such damages:
4.2.5.1 Any indirect, incidental, consequential, punitive, special or punitive damages and losses shall be borne, including but not limited to expected benefits, goodwill and reputation, opportunities, data loss, and third-party expenses.Unless otherwise specified by law, in any case, the maximum amount of compensation we are liable for to you is the service fee you have already paid us for the month in which you incurred the loss or we breached the contract.To the maximum extent permitted by law, these limitations and terms apply to any matter or claim related to this Agreement.
4.2.5.2 Any loss or damage caused to you due to the following reasons:
(1) Damage caused by your use of any third-party products or services;
(2) We modify or suspend the provision of this service or any functionality within this service in any way;
(3) You have not provided us with accurate account information, or you have not protected the security of your account password in accordance with the requirements of this agreement;(4) Other losses caused by your violation of the provisions of this agreement.
4.2.6 The use of software and services is at your own risk. We and/or our partners make no warranties of any kind, whether express, implied, or statutory, including but not limited to warranties and conditions of merchantability, applicability, virus-free, non negligent, or non technical defects, ownership, equal benefit rights, and non infringement. We and/or our partners shall not be liable for any direct, indirect, incidental, special, or consequential damages and risks arising from the use or inability to use the software and services under any circumstances.Under no circumstances shall we and/or our cooperating units be liable for any indirect, accidental, special, punitive or other damages arising from or related to your use or inability to use the software and services.
4.2.7 We may send or display advertisements or other information (including commercial or non-commercial information) to you during your use of this service. You should carefully assess the authenticity and reliability of the advertisements and other information.
4.2.8 Any losses or liabilities caused by your own reasons shall be borne by you, and we and/or our cooperating units shall not be held responsible.The situations where we and/or our cooperating units are not responsible include but are not limited to:
(1) Any loss or liability resulting from your failure to operate in accordance with this agreement or any rules published by EC CRM from time to time;
(2) Any losses or liabilities resulting from your failure to provide the correct contact information to EC CRM and timely receipt of relevant notifications from EC CRM;
(3) Any other losses or liabilities caused by your own reasons.
4.2.9 To the maximum extent permitted by law, any disputes arising from your use of this service between you and any third party (including but not limited to, for example, any mobile network service provider, rights holder, or other user) shall not be directly related to us, and we shall not be liable for any kind or nature of liability or loss (whether direct or indirect) arising from such disputes.
4.2.10 Maintaining software security and normal use is our joint responsibility with you. We will take necessary technical measures to protect the information and data security of your terminal devices in accordance with industry standards, but you acknowledge and agree that we cannot provide complete guarantees in this regard.
4.2.11 There may be risks of using software and services that contain threatening, defamatory, offensive, or illegal content anonymously or impersonated by others. You must understand and bear the above risks on your own, and we and/or our cooperating units shall not be held responsible.We and/or our partner units prohibit all users from using the software to disseminate illegal and irregular information. Once discovered, we will immediately delete it, but we will not be responsible for the authenticity, applicability, or legality of any related information.
4.2.12 We do not assume any responsibility for any economic losses, personal information loss, leakage, or other risks suffered by you due to third-party communication line failures, technical issues, network or computer failures, system instability, or other force majeure reasons such as telecommunications department failures.
4.2.13 If the normal operation of the service is affected by force majeure events such as third-party service defects, system updates and upgrades, government department investigations, judicial administrative orders, as well as failures of domestic and foreign basic telecom operators, damage to infrastructure such as optical cables, power supply failures, computer or Internet related technical defects, Internet coverage restrictions, computer viruses, hacker attacks and other technical failures, we and/or the cooperative units promise to cooperate with the relevant units in the first time to deal with and repair in a timely manner, but we and/or the cooperative units will not bear any responsibility for the economic losses you have suffered as a result.
4.2.14 If you interact with other EC CRM users through the use of this service and suffer or may suffer any psychological or physiological harm or economic losses due to misleading or deceptive behavior, the party at fault shall bear all responsibilities in accordance with the law and shall not be responsible for us and/or our cooperative units.4.2.15 We do not assume responsibility for the risks and liabilities that may arise from the dissemination or sharing of content posted by users by others.
4.2.15 Suspension or Termination of Service Provision
You understand and agree that, based on comprehensive factors such as legal requirements, user experience, operational security of EC CRM or related service platforms, platform rule requirements, and healthy development, we have the right to choose the objects to provide services, decide on functional settings, determine the objects and scope of functional openness, data interfaces, and related data disclosure.If you have the following circumstances, we have the right to suspend or terminate the provision of services depending on the specific situation, including but not limited to:
Violation of laws, regulations or provisions of this agreement;
Affects the service experience;
There are safety hazards (including but not limited to situations that pose a safety hazard to yourself or third-party personnel or property, and situations that pose a safety hazard to public safety);
Violating the operational principles of EC CRM or its service platform, or not meeting our other management requirements;
Create, publish, use, and disseminate malicious programs for stealing EC CRM accounts, functional accounts, and personal information and property of others;
Delete information and content related to copyright on software and its copies;
Reverse engineer, disassemble, decompile, or otherwise attempt to discover the source code of software;
Using, renting, lending, copying, modifying, linking, reprinting, assembling, publishing, publishing, establishing mirror sites, and developing derivative products, works, services, etc. related to the content that we own intellectual property rights for without authorization;
Copy, modify, add, delete, mount, or create any derivative works of software or data released into the memory of any terminal during software operation, interaction data between client and server during software operation, and system data necessary for software operation, including but not limited to the use of plugins, plug-ins, or unauthorized third-party tools/services to access software and related systems;
Upload, send emails, or otherwise transmit information related to software viruses or other computer codes, files, and programs that interfere with, disrupt, or restrict the functionality of any computer software, hardware, or communication devices;
Interference or destruction of this service or servers and networks connected to this service, or violation of any regulations, procedures, policies, or norms regarding the connection network of this service;
By modifying or forging instructions and data during software operation, adding, deleting, or altering the functionality or performance of the software, or operating or disseminating software or methods used for the aforementioned purposes to the public, regardless of whether these actions are for commercial purposes;
By using third-party software, plugins, cheats, systems that are not developed or authorized by us, logging in or using our software and services, or creating, publishing, or disseminating the aforementioned tools;
Interfering with software and its components, modules, and data by oneself or authorizing others or third-party software;
Submitting or publishing false information, or impersonating or using the name of others;
Inducing other users to click on link pages or share information;
Fabricating facts, concealing the truth to mislead or deceive others;
Infringing upon the legitimate rights of others, such as reputation, portrait, intellectual property, trade secrets, etc;
Using EC CRM account and any features, as well as third-party operating platforms for promotion or mutual promotion without our written permission;
Using EC CRM accounts or software and services to publish, transmit, disseminate, and store content that violates national laws, endangers national security, national unity, and social stability, or any inappropriate, insulting, defamatory, obscene, violent, or any content that violates laws, regulations, and policies;
Engaging in any illegal or criminal activities using EC CRM accounts or software and services;Produce, publish, operate or disseminate methods and tools related to the above behaviors, regardless of whether these behaviors are for commercial purposes;
Using EC CRM accounts or software and services to engage in any behavior that endangers computer network security, including but not limited to: using unauthorized data or accessing unauthorized servers/accounts;Unauthorized access to public computer networks or other people's computer systems and deletion, modification, or addition of stored information;Attempting to explore, scan, test the vulnerabilities of this service system or network or engage in other activities that undermine network security without permission;Attempting to interfere with or disrupt the normal operation of this service system or website, intentionally spreading malicious programs or viruses, and other behaviors that disrupt or interfere with normal network information services;Falsifying TCP/IP packet names or partial names;
Other behaviors that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of the product, or are not expressly authorized by us.
5 intellectual property rights statement
5.1 We are the intellectual property rights holders of EC CRM software.All copyrights, trademarks, patents, trade secrets and other intellectual property rights of the software, as well as all information content related to the software (including but not limited to text, images, audio, video, charts, interface design, layout framework, relevant data or electronic documents, etc.), are protected by laws, regulations and corresponding international treaties. We enjoy the above-mentioned intellectual property rights, except for the rights that the relevant rights holders should enjoy according to legal provisions.
5.2 Without our or the relevant rights holder's written consent, you may not implement, utilize, or transfer the aforementioned intellectual property rights for any commercial or non-commercial purposes on your own or by license to any third party.
5.3 All content uploaded and published by you during the use of software and services will not result in the transfer of intellectual property rights, portrait rights, or other rights due to the act of uploading or publishing.At the same time, you understand and agree that we may use the specific public non confidential content you have posted within the scope permitted by law to achieve the purpose of the product, including but not limited to storing, playing to relevant users, making it available for relevant users to obtain and reuse.
5.4 Unless otherwise specified in this agreement, there are no service terms related to other services accessed by us or our partner units using this service. There may be separate service terms to regulate the relevant services. Please understand and confirm them separately when using the relevant services.If you use this service, it is deemed as acceptance of the relevant service terms.
5.5 You should respect intellectual property rights as much as we do.As a prerequisite for using this service, you agree not to infringe upon any subject's intellectual property rights during the use of this service (including but not limited to uploading or sharing materials protected by copyright laws without consent).
5.6 You understand and agree to authorize us to use your name, trademark, and logo in promotion and advertising, but only to indicate that you are our customer or partner.
5.7 All other rights not expressly authorized in this agreement still belong to us, and you must obtain our written consent separately when using other rights.
6 notice
The notice sent to either party shall take effect immediately upon delivery in person or by email, one day after being sent by overnight courier, or two days after being sent by prepaid first-class mail to the designated official contact persons of both parties, and upon receipt by the other party's server.The notice must be sent in writing: (i) if to EC CRM, to the address specified in this agreement;(ii) If it is for the customer, send it to the existing postal or email address related to the customer in EC CRM.EC CRM can change their contact information by posting new contact information on the EC CRM website or notifying customers.Customers are responsible for keeping their contact information archived in EC CRM up-to-date throughout the validity period through the EC CRM platform.
7 Applicable laws and dispute resolution
This agreement is signed in the Hong Kong Special Administrative Region of the People's Republic of China.The establishment, effectiveness, performance, interpretation, and dispute resolution of this agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China (excluding principles of conflict of laws).If there is any dispute or controversy between you and us, we should first resolve it through friendly negotiation;If the negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the court in our location.

8.1 transfer the possession of.Without our prior written consent, you may not transfer any of your rights or obligations under this agreement to any third party.You understand and agree that we have the right to independently decide our business strategy and transfer all rights and obligations under this agreement to our affiliated companies or other legal entities based on business adjustments. You acknowledge that in the above circumstances, we do not need to obtain your consent and will try our best to notify you in a reasonable manner.
8.2 Explain.Unless otherwise specified in this Agreement, the rights and remedies of both parties under this Agreement are cumulative.The term 'including' refers to 'including but not limited to'.The titles of all clauses in this agreement are for ease of reading only and do not have any actual meaning in themselves, and cannot serve as a basis for interpreting the meaning of this agreement.The term 'consent' used in this Agreement in relation to EC CRM refers to the right of EC CRM to refuse such consent at will, where applicable, and does not imply any obligation to act reasonably or explain its decisions to the customer.
8.3 Separable.Any provision of this Agreement that is deemed illegal or unenforceable by a competent arbitral tribunal or court shall be removed from this Agreement, and all other provisions of this Agreement shall remain in full force and effect.
8.4 Independent subject.The relationship between customers and EC CRM is independent, and neither party is an agent or partner of the other.The customer does not possess or represent to any third party that they have any authority to act on behalf of EC CRM.
8.5 Our failure to exercise, fail to exercise in a timely manner, or fail to fully exercise the rights enjoyed under this agreement or in accordance with legal provisions shall not be deemed a waiver of such rights, nor shall it affect EC CRM's ability to exercise such rights in the future.We do not waive any rights not mentioned in this agreement to limit, exempt, or offset EC CRM's liability for damages to the maximum extent applicable by law.
8.6 Complete agreement.This agreement constitutes the entire agreement between the parties regarding the subject matter of this agreement and supersedes all other written or oral communications.
8.7 Revision.We have the right to modify the terms of this agreement as necessary in order to provide you with better services or due to changes in laws, regulations, policies, technical conditions, product functions, etc.We may deliver various rules, notifications, tips, and other information about this service to you through one or more methods, including but not limited to displaying on relevant service pages, webpage announcements, webpage prompts, email addresses, and sending internal messages within the account management system where users register to use this service. You can refer to the relevant agreement terms in the latest version of the software.After the terms of this agreement are changed, if you continue to use the software, it will be deemed that you have accepted the modified agreement.If you do not accept the modified agreement, you should stop using the software.You agree that any failure to receive relevant rules, notices, prompts, or other information due to incorrect email or other reasons not attributable to us shall not affect the legal effect of such information on you, and you shall be bound by it. You shall bear all consequences and responsibilities arising therefrom.
8.8 Language Versions and Conflict Resolution
This Agreement is provided in Simplified Chinese, Traditional Chinese, and English versions. In the event of any discrepancies or inconsistencies between the different language versions, the Simplified Chinese version shall prevail.
