Preface and Introduction

EC是由Easy Connection (HK) Limited（以下简称 “EC“、“我们 “或 “我们的“）推出的产品。为使用EC软件及服务（以下简称“本服务”），你应当阅读并遵守《EC用户服务协议》（以下简称“本协议”），使用本服务的用户统称为“你”或“用户”。

EC is a product launched by Easy Connection (HK) Limited (hereinafter referred to as “EC“, “We” “us”,or “Our”). For the purpose of using the EC Software and Services (hereinafter referred to as the “Service”) , you shall read and abide by the EC User Service Agreement (hereinafter referred to as the “Agreement”), and the users who use the Services are collectively referred to as “you” ” customer” , or “users”.

请你务必审慎阅读、充分理解各条款内容，特别是免除或者限制责任的条款（可能以加粗形式提示你注意）。如果你注册了 EC 帐户，即视为你已阅读并同意本协议的约束，完全接受本协议项下的全部条款。

You must carefully read and fully understand the contents of each clause, especially the clauses exempting or restricting liability (which may be prompted to your attention in bold form). If you register an EC account, you are deemed to have read and agreed to be bound by this Agreement and to have fully accepted all the terms of this Agreement.

本协议适用于我们以网站、软件以及随技术发展出现的新形态向你提供的各项产品和服务。本协议不适用于由我们的关联公司或的第三方服务商或其他第三方向你提供的产品或服务，此类产品或服务适用服务提供方向你另行说明的使用规则。

This Agreement shall apply to all products and services we provide to you in the form of websites, software and new forms as technology evolves. This Agreement shall not apply to products or services provided to you by our affiliates or third-party service providers or other third parties, and such products or services shall be subject to the rules of use otherwise explained to you by the service providers.

在你完成注册程序或以其他我们允许的方式实际使用服务时，你具备履行本协议的完全民事权利能力和民事行为能力；否则，你不应使用本服务。如你代表一家公司或其他法律主体进行注册或以其他我们允许的方式实际使用本服务的，则你声明和保证，你有权使该公司或该法律主体受本协议的约束。

You have full capacity for civil rights and civil conduct to perform this Agreement when you complete the registration procedures or actually use the Services in other ways permitted by us; Otherwise, you shall not use the Service. If you register on behalf of a company or other legal entity or actually use the Services in other ways permitted by us, you represent and warrant that you have the right to bind the company or other legal entity to this Agreement.

如果你未满18岁，请在法定监护人的陪同下阅读本协议及上述其他协议，并特别注意未成年人使用条款。若你不具备前述主体资格，请勿使用服务，否则你及你的监护人应承担因此而导致的一切后果，且我们有权注销（永久冻结）你的账户，并向你及你的监护人索偿。

If you are under the age of 18, please read this Agreement and other agreements mentioned above in the company of your legal guardian, and pay special attention to the terms of use for minors. If you do not have the above-mentioned subject qualification, do not use the service, otherwise you and your guardian shall bear all the consequences arising therefrom, and we have the right to cancel (permanently freeze) your account and claim compensation from you and your guardian.

1. 定义

你使用本服务时，可能有不同身份，具体如下：

You may have different identities when using this service, as follows:

1.1.1个人用户，以个人身份注册和使用本服务的自然人，未加入任何企业组织或不以企业组织最终用户身份使用服务的用户。个人用户可于注册个人身份账号后，为个人用途使用本服务。个人用户登录后，可于法律与本协议允许范围内，自行决定上传、查阅或删除用户内容或个人信息。

1.1.1 Individual users, natural persons who register and use the Service in their personal capacity, and users who do not join any enterprise organization or use the Service as end users of enterprise organizations. Individual users can use the service for personal purposes after registering their personal identity accounts. After logging in, an individual user may, within the scope permitted by law and this Agreement, upload, consult or delete the user’s content or personal information at his own discretion.

1.1.2创始人（企业管理员），指通过获得客户（即向我们购买服务的企业或非法人组织）的授权而注册本服务账号并作为创始人（企业管理员）搭建组织架构并享有管理权限。创始人（企业管理员）代客户配置本服务、行使后台管理权限。创始人（企业管理员）可以邀请个人加入其组织。你同意，为使你及客户的其他授权用户能够享受本服务的部分功能，该客户可能向我们及客户的其他授权用户提供你的信息。该客户收集、使用、共享你信息的行为应遵守相关法律法规要求，我们仅根据客户要求处理你的个人信息，且不对该客户的相关行为承担法律责任。个人信息的处理请查阅《EC隐私政策》。如果你代表客户注册本服务，你承诺已获得客户的充分授权，授权你代表其接受、履行本协议的全部内容。在此情况下，客户将对你使用本服务产生的各项行为在法律和财务方面承担责任。若客户就使用本服务与我们另行达成其他协议，且本协议与其他协议内容有冲突的，相关内容以另行达成的其他协议为准。本协议未提及的内容，以其他协议约定为准。

1.1.2 The founder (enterprise administrator) refers to registering this service account by obtaining the authorization of the customer (i.e. the enterprise or unincorporated organization that purchases services from us) and building the organizational structure as the founder (enterprise administrator) and enjoying the management authority. The founder (enterprise administrator) configures the service and exercises the background management authority on behalf of the customer. The founder (enterprise administrator) may invite individuals to join his organization. You agree that in order to enable you and other authorized users of the Client to enjoy some of the functions of the Service, the Client may provide your information to us and other authorized users of the Client. The collection, use and sharing of your information by the client shall comply with the requirements of relevant laws and regulations. We only process your personal information according to the requirements of the client, and shall not bear legal liability for the relevant acts of the client. Please refer to the EC Privacy Policy for the processing of personal information. If you register the Services on behalf of the Client, you undertake that you have obtained full authorization from the Client to accept and perform the entire contents of this Agreement on its behalf. Under such circumstances, the Client will be legally and financially liable for all acts arising from your use of the Services. If the customer reaches other agreements with us on the use of the service, and there are conflicts between the contents of this agreement and other agreements, the relevant contents shall be subject to other agreements reached separately. The contents not mentioned in this agreement shall be subject to other agreements.

1.1.3授权用户，指被创始人（企业管理员）邀请加入客户在EC软件搭建的组织架构，并使用本服务的自然人。作为授权用户，创始人（企业管理员）将对你的授权用户身份及基于该身份的相关权益进行管理，包括但不限于加入、删除以及调整权限和限制服务内容等，你保证在遵守本服务相关规范的同时，按照该客户的授权范围和规范使用本服务，如你丧失授权用户身份，我们有权根据客户的指示将基于该身份的服务内容一并删除或转移。请你知悉，客户应独自负责将所有与你使用本服务有关的客户政策和惯例，以及可能影响、限制你使用本服务或访问客户数据的设置向你进行充分说明与告知，我们不就此承担任何责任。

1.1.3 Authorized user refers to a natural person who is invited by the founder (enterprise administrator) to join the organizational structure built by the customer in EC software and uses the service. As an authorized user, the founder (enterprise administrator) will manage your authorized user identity and related rights and interests based on that identity, including but not limited to adding, deleting, adjusting authority and restricting service contents. You guarantee to use the service in accordance with the scope and specifications of the client’s authorization while abiding by the relevant specifications of the service. If you lose your authorized user identity, we have the right to delete or transfer the service contents based on that identity together according to the instructions of the client. You are aware that the Client shall be solely responsible for fully explaining and informing you of all Client policies and practices related to your use of the Service, as well as settings that may affect or restrict your use of the Service or access to Client Data, and we shall not be liable for this.

1.2 协议关系及冲突条款

Agreement Relationship and Conflicting Clauses

1.2.1本协议被视为《EC产品服务合同》的补充协议，是其不可分割的组成部分，与其构成统一整体。本协议与上述内容存在冲突的，以本协议为准。

This Agreement is deemed to be a supplementary agreement to the EC Product Service Contract and is an integral part thereof and constitutes a unified whole with it. In case of any conflict between this Agreement and the above contents, this Agreement shall prevail.

1.2.2本协议内容同时包括我们可能不断发布的关于本服务的相关协议、业务规则等内容。上述内容一经正式发布，即为本协议不可分割的组成部分，你同样应当遵守。

The contents of this agreement also include the relevant agreements and business rules on the service that we may continuously publish. Once officially issued, the above contents shall be an integral part of this Agreement and you shall also abide by them.

2. 软件的下载、安装与升级

Software download, installation and upgrade

2.1. 你使用本服务需要下载EC客户端软件，对于EC客户端软件，我们给予你一项个人的、不可转让及非排他性的使用许可。你仅可为访问或使用本服务的目的而使用EC客户端软件及服务。

You will need to download the EC Client Software to use the Service, and we grant you a personal, non-transferable and non-exclusive license to use the EC Client Software. You may use the EC Client Software and Services only for the purpose of accessing or using the Services.

2.2. 你可以直接从我们网站上获取EC软件，也可以从得到我们授权的第三方应用商城获取。我们提供包括但不限于IOS、Android、Windows、Mac版本的EC客户端软件。如用户已注册使用一种版本的服务，则可以以同一帐号使用其他版本的服务。本协议自动适用于用户所使用的所有版本的软件和服务。用户必须选择与所安装终端设备相匹配的软件版本，否则，由于软件与终端设备型号不相匹配所导致的任何问题或损害，均由用户自行承担。如果你从未经我们授权的第三方获取软件或与软件名称相同的安装程序，我们无法保证该软件能够正常使用，并对因此给你造成的损失不予负责。

You can obtain EC software directly from our website or from third-party app stores authorized by us. We provide EC client software including, but not limited to, the versions of OSS, Android, Windows and Mac. If a user has registered to use one version of the service, he may use another version of the service with the same account. This Agreement shall automatically apply to all versions of the Software and Services used by Users. The user must choose the software version that matches the installed terminal equipment, otherwise, any problem or damage caused by the mismatch between the software and the terminal equipment model shall be borne by the user himself. If you obtain the software or an installation program with the same name as the software from a third party not authorized by us, we cannot guarantee that the software can be used normally and shall not be liable for the losses caused to you thereby.

2.3. 非经我们或我们授权开发并正式发布的其它任何由软件衍生的软件均属非法，下载、安装、使用此类软件，将可能导致不可预知的风险，建议你不要轻易下载、安装、使用，由此产生的一切法律责任与纠纷一概与我们和/或合作单位无关。

Any other software derived from software that is not developed and officially released by us or our authorization is illegal. The download, installation and use of such software may lead to unpredictable risks. We recommend that you do not download, install or use it easily, and all legal liabilities and disputes arising therefrom shall have nothing to do with us and/or the cooperative units.

2.4. 如果你不再需要使用软件，可以自行卸载。如果你愿意帮助我们改进产品服务，请告知卸载的原因。

If you no longer need to use the software, you can uninstall it yourself. If you are willing to help us improve our products and services, please inform us of the reasons for the unloading.

2.5. 我们特别提请你注意，为了保证软件及服务的安全性和功能的一致性，改善用户体验、完善服务内容，我们将不断努力开发新的服务，并有权不经向你特别通知或不经你允许而对软件进行更新（这些更新可能会采取软件替换、修改、功能强化、版本升级、功能升级、数据参数或使用方式调整等形式）。软件新版本发布后，我们不保证旧版软件继续可用或提供相应的客户服务。

We draw your attention in particular to the fact that in order to ensure the security and functional consistency of the software and services, improve the user experience and improve the service content, we will constantly strive to develop new services, and have the right to update the software without special notice to you or without your permission (these updates may take the form of software replacement, modification, function enhancement, version upgrade, function upgrade, data parameter or mode of use adjustment, etc.). After the release of the new version of the software, we do not guarantee that the old version of the software will continue to be available or provide corresponding customer service.

2.6. 我们可能通过公告、更新日志、软件内弹窗等方式向你通知软件更新情况，但我们不需向你特别通知。你可以自行决定是否升级，如果你不接受，你可能无法使用部分功能。

We may notify you of software updates through announcements, update logs, software pop ups, etc., but we do not need to notify you specifically. You can decide whether to upgrade or not, and if you do not accept it, you may not be able to use some of the features.

2.7. 非经我们的允许，你不得复制、拷贝、出售、转售EC软件或用于广告等其它商业目的。我们拥有与EC软件有关的著作权。本条及本协议其他条款未明示授权的其他一切权利仍由我们保留，你在行使这些权利时须另外取得我们的书面许可。我们如果未行使前述任何权利，并不构成对该权利的放弃。

Without our permission, you may not copy, copy, sell, resell the EC Software or use it for advertising or other commercial purposes. We own the copyright in relation to the EC Software. All other rights not expressly authorized by this clause and other clauses of this agreement shall remain with us, and you shall obtain our written permission separately when exercising these rights. Our failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.

3. 账户注册和注销

Account Registration and Cancellation

3.1 账户注册

Account Registration

3.1.1. 你在使用本服务前需要注册一个EC帐号。EC帐号可通过电子邮箱进行注册。我们有权根据用户需求或产品需要对帐号注册和绑定的方式进行变更。关于你使用帐号的具体规则，请遵守本协议的规定。

You need to register an EC account before using this service. The EC account can be registered by e-mail. We have the right to change the way of account registration and binding according to user needs or product needs. Please abide by the provisions of this agreement regarding the specific rules for your use of the account.

3.1.2. 你在注册的过程中应提供真实、完整、准确的信息。若你填写的信息不完整，则无法使用本服务或在使用过程中受到限制。所有原始键入的资料将引用为注册资料。因注册信息不真实而造成的损失及/或法律后果，由你自行承担，EC不负任何责任。

You should provide true, complete and accurate information in the process of registration. If the information you fill in is incomplete, you may not be able to use the Service or may be restricted in the course of using it. All information originally keyed in will be cited as registration information. You shall bear the losses and/or legal consequences caused by the untrue registration information, and EC shall not be liable.

3.1.3. EC帐号的所有权归我们公司所有，用户完成申请注册手续后，仅获得EC帐号的使用权，且该使用权仅属于初始申请注册人。同时，初始申请注册人不得赠与、借用、租用、转让或售卖EC帐号或者以其他方式许可非初始申请注册人使用EC帐号。如果我们发现使用者并非账号初始注册人，我们有权回收该账号且无需向该账号使用人承担法律责任。非初始申请注册人不得通过受赠、继承、承租、受让或者其他任何方式使用EC帐号。我们禁止你私下有偿或无偿转让账号，以免因账号问题产生纠纷，你因违反此要求遭致的任何损失自行承担。

The ownership of the EC account belongs to our company. After completing the application for registration, the user only obtains the right to use the EC account, and the right to use only belongs to the initial applicant for registration. At the same time, the initial applicant registrant shall not donate, borrow, lease, transfer or sell the EC account or otherwise license the non-initial applicant registrant to use the EC account. If we find that the user is not the initial registrant of the account, we have the right to recycle the account and do not have to bear legal liability to the user of the account. A person who is not an initial applicant for registration may not use the EC account by gift, inheritance, lease, assignment or any other means. We prohibit you from privately transferring the account number, paid or free, so as to avoid disputes arising from the account number problem, and you shall bear any losses caused by your violation of this requirement.

3.1.4. 你使用的姓名/名称、头像等信息中不得出现虚假、违法或不良信息，不得冒充他人，不得未经许可为他人注册，不得以可能导致其他用户误认的方式注册帐号，不得使用可能侵犯他人权益的用户名（包括但不限于涉嫌商标权、名誉权侵权等）。

The name, avatar and other information you use shall not contain false, illegal or bad information, shall not impersonate others, shall not register for others without permission, shall not register accounts in a way that may lead to misunderstanding by other users, and shall not use user names that may infringe upon the rights and interests of others (including but not limited to suspected trademark rights and reputation rights infringement).

3.1.5. 我们有权对你提交的注册信息进行审核，对于违反本协议约定的注册信息，EC有权不经通知单方采取不予注册、屏蔽或删除违法违规内容、限期改正、删除资料、暂停使用、注销、收回账户并终止对你提供部分或全部服务等措施，因此产生的损失由你自行承担。如你未及时更正、更新信息导致EC无法按协议约定向你提供服务，或导致你在使用EC产品或相关服务过程中产生任何损失或费用的，由此产生的后果由你自行承担。EC对以上原因造成的服务暂停、终止不承担任何责任，你应当承担一切不利后果。如因此给EC造成损失的，你应当承担相应责任。

We have the right to examine the registration information submitted by you. For the registration information in violation of the agreement, EC has the right to unilaterally take measures such as not registering, shielding or deleting the contents of violations of laws and regulations, correcting within a time limit, deleting materials, suspending the use, canceling, withdrawing the account and terminating part or all of the services provided to you without notice, and the losses arising therefrom shall be borne by you. If you fail to correct or update the information in a timely manner, resulting in EC‘s failure to provide services to you in accordance with the agreement, or resulting in any loss or expense incurred by you in the use of EC products or related services, the consequences arising therefrom shall be borne by you. EC shall not be liable for the suspension or termination of services caused by the above reasons, and you shall bear all adverse consequences. If any loss is caused to EC, you shall bear the corresponding responsibility.

3.1.6. 用户需要对注册帐户以及密码下的行为承担法律责任。用户同意在任何情况下不向他人透露帐户及密码信息。当在你怀疑他人在使用你的帐号时，你应立即通知我们公司。因你自身原因导致的数据丢失或被盗以及在软件及服务中相关数据的删除或储存失败的责任由你自行承担。在任何情况下，你不应轻信借款、索要密码或其他涉及财产的网络信息。涉及财产操作的，请一定先核实对方身份，并请经常留意我们有关防范诈骗犯罪的提示。

Users need to bear legal responsibility for their registered accounts and acts under their passwords. Users agree not to disclose account and password information to others under any circumstances. When you suspect that others are using your account, you should immediately notify our company. You shall be responsible for the loss or theft of data due to your own reasons and the failure to delete or store relevant data in software and services. Under no circumstances should you trust loans, passwords or other network information involving property. If property operations are involved, please verify the identity of the other party first, and pay attention to our tips on preventing fraud.

3.1.7. 如你的账户下的行为严重违反本协议中的用户行为规范或基于政府的要求，EC有权注销你的账户。

EC has the right to cancel your account if the conduct under your account seriously violates the user code of conduct in this Agreement or is based on government requirements.

3.2 账户注销

Account Cancellation

3.2.1. 如你向EC提出账户注销申请，当你的账户符合以下条件，经EC审核通过即可注销账户：

If you apply to EC for account cancellation, your account can be cancelled after being examined and approved by EC when it meets the following conditions:

(1) 账户处于正常状态，不涉及任何争议、纠纷，包括但不限于投诉、举报、诉讼、仲裁、有权机关的调查或被有权机关采取限制措施；

The account is in normal condition and does not involve any dispute or dispute, including but not limited to complaints, reports, litigation, arbitration, investigation by competent authorities or restrictive measures taken by competent authorities;

(2) 账户内不存在其他未了结的权利义务或因注销账户而产生纠纷的情况；

There are no other outstanding rights and obligations in the account or disputes arising from the cancellation of the account;

(3) 不存在其他可能影响账户注销的情况。

There are no other circumstances that may affect the cancellation of the account.

3.2.2. 在账户注销过程中，如果你的账户涉及上述情况之一，EC有权中止或终止你账户的注销程序而无需另行得到你的同意。

During the account cancellation process, if your account involves one of the above circumstances, EC has the right to suspend or terminate the cancellation procedure of your account without obtaining your consent separately.

3.2.3. 如果你超过六个月不使用或不登录EC，我们将注销账户，由此带来的任何损失均由你自行承担。注销账户后，我们将删除你在使用EC产品及其服务中录入的全部信息且无法恢复，你注销账户后，我们没有义务向你返还任何数据。

If you do not use or log into EC for more than six months, we will cancel the account, and any losses arising therefrom shall be borne by you. After the account is cancelled, we will delete all the information you have entered in the use of EC products and services and cannot restore it, and we are not obliged to return any data to you after you cancel the account.

3.2.4. 你已充分理解并同意，账户注销后，你将无法再继续使用EC提供的服务，不再拥有账户相关的权益。因注销账户所带来的不便或不利后果，由你自行承担。

You fully understand and agree that after the account is cancelled, you will no longer be able to continue to use the services provided by EC and will no longer have the rights and interests related to the account. The inconvenience or adverse consequences arising from the cancellation of the account shall be borne by you.

4. 软件的使用

Use of Software

4.1 网络资源

你理解并同意，为了向你提供有效的服务，EC软件会利用你终端设备的处理器和带宽等资源，用作容许其它我们EC软件使用者与你通讯联络、分享我们EC软件及服务的目的。此项同意可能会影响你的使用感受和带来不可预知的风险。你应认真考虑并做出选择，你选择注册软件则表示你同意承担相应风险。软件使用过程中可能产生数据流量的费用，用户需自行向运营商了解相关资费信息，并自行承担相关费用。

You understand and agree that in order to provide effective services to you, EC Software will use the processor and bandwidth resources of your terminal equipment for the purpose of allowing other users of our EC Software to communicate with you and share our EC Software and Services. This consent may affect your feelings of use and carry unpredictable risks. You should carefully consider and make a choice, and your choice to register the software means that you agree to bear the corresponding risks. The user shall understand the relevant tariff information from the operator and bear the relevant expenses by himself.

4.2 个人信息

Personal information

就你使用EC软件及服务过程中所产生的及你所收集或被提供的任何个人信息（“个人信息”），你应根据所有可适用法律法规使用本服务，并依约履行你在本协议下的义务。本协议所指的“可适用法律法规”是指你通过本服务所提供的信息、服务或前述信息、服务可被接收的国家、地区的法律、法规、规章、规范性文件、政策。你承诺：

You shall use the Services in accordance with all applicable laws and regulations with respect to any personal information (“Personal Information”) generated by you in the course of using the EC Software and Services and collected or provided by you, and shall perform your obligations under this Agreement in accordance with the Contract. The “applicable laws and regulations” referred to in this Agreement refer to the laws, regulations, rules, normative documents and policies of the countries and regions where the information and services provided by you through the Service or the above-mentioned information and services can be received. You promise:

4.2.1. 遵守不时修订的所有可适用的隐私和数据保护的法律法规，包括适用于个人信息的法律法规，并向我们提供必要信息以证明你已遵守前述法律法规及本协议约定；

Comply with all applicable privacy and data protection laws and regulations, as amended from time to time, including those applicable to personal information, and provide us with the necessary information to prove that you have complied with the aforementioned laws and regulations and the provisions of this Agreement;

4.2.2. 仅就使用软件及本服务之目的使用、处理个人信息；

Use and process personal information only for the purpose of using the software and the service;

4.2.3. 明确、准确地向个人描述你所收集的个人信息以及如何使用、向第三方分享这些信息等；

Clearly and accurately describe to individuals the personal information you collect and how it is used and shared with third parties;

4.2.4. 采取适宜的技术及系统的安全措施，以保护个人信息免遭未经授权访问或使用，并对前述安全措施的有效性进行定期测试；

Take appropriate technical and systematic security measures to protect personal information from unauthorized access or use, and regularly test the effectiveness of the above-mentioned security measures;

4.2.5. 确保所有有权访问个人信息的人员都受保密义务的约束；

Ensure that all persons who have access to personal information are bound by the obligation of confidentiality;

4.2.6. 出现任何未经授权的访问或使用个人信息的情况下，及时向我们、相关数据保护机构汇报。

Report to us and relevant data protection agencies in a timely manner any unauthorized access to or use of personal information.

4.3 第三方产品和服务

Third Party Products and Services

4.3.1 你理解并同意，EC软件可能会使用第三方产品和服务（包括软件可能使用的开源代码和公共领域代码等，下同），这种使用已经获得合法授权。软件如果使用了第三方的产品和服务，我们将按照相关法规或第三方的要求展示第三方产品和服务协议，第三方产品和服务协议均是本协议不可分割的组成部分，与本协议具有同等的法律效力，你应当遵守这些要求。如果你没有遵守这些要求，该第三方或者政府部门可能会对你提起诉讼、罚款或采取其他制裁措施，并要求我们给予协助，你应当自行承担法律责任。

You understand and agree that EC Software may use third-party products and services (including open source code and public domain code that may be used by the Software, the same below), and such use has been legally authorized. If the software uses the products and services of a third party, we will display the third-party product and service agreement in accordance with the relevant regulations or the requirements of the third party. The third-party product and service agreement is an integral part of this agreement and has the same legal effect as this agreement, and you shall abide by these requirements. If you fail to comply with these requirements, the third party or government department may bring lawsuits, fines or other sanctions against you and request our assistance, and you shall bear your own legal responsibility.

4.3.2 你在选择使用第三方服务前应充分了解第三方服务的产品功能、服务协议及隐私保护政策，再选择是否开通功能并遵守第三方的服务协议及隐私保护政策。我们与第三方对可能出现的纠纷在法律规定和约定的范围内各自承担责任。

4.3.3 第三方就服务信息内容、数据资料及其运营行为等方面的真实性、合法性及有效性承担全部责任，我们不保证通过第三方提供服务及内容的安全性、准确性、有效性及其他不确定的风险，由此若引发的任何争议及损害，与我们无关，我们不承担任何责任。

The third party shall bear full responsibility for the authenticity, legality and effectiveness of the service information content, data materials and their operation behavior. We do not guarantee the safety, accuracy, effectiveness and other uncertain risks of the service and content provided through the third party. We shall not bear any responsibility for any dispute and damage arising therefrom.

4.3.3 我们可能会对本服务及第三方应用政策及服务作出调整，该等调整可能会对我们或第三方的服务产生影响（如导致相关服务无法继续在本服务提供，或第三方应用的服务功能受限），除法律另有明确规定外，我们不承担相应责任。

We may make adjustments to the Service and third-party application policies and services, and such adjustments may have an impact on our or third-party services (such as causing the relevant services to be unable to continue to be provided in the Service, or the service functions of third-party applications to be restricted). Except as otherwise expressly provided by law, we shall not be liable accordingly.

4.3.4 你违反第三方服务协议的规定，导致或产生的任何第三方主张的任何索赔、要求或损失，应当由你自行承担。如果给我们造成损失，你同意向我们进行赔偿，同时我们有权视你的行为性质，采取包括但不限于中断使用许可、停止提供服务、限制使用、回收你EC账号、法律追究等措施，且我们的上述行为不视为违约行为。

Any claim, demand or loss asserted by any third party as a result of or arising out of your breach of the provisions of the Third Party Service Agreement shall be borne by you. If losses are caused to us, you agree to compensate us, and we have the right to take measures including but not limited to interrupting the use license, stopping the provision of services, restricting the use, recycling your EC account number, legal investigation and other measures according to the nature of your acts, and our above-mentioned acts shall not be regarded as violations of contract.

4.3.5 我们仅作为平台提供者，我们仅为了你便利操作而提供该功能模块或服务订购和/或使用入口，相关应用由该第三方独立提供，除法律法规和本协议另有规定外，我们不对你对该应用的使用承担任何责任。

We are only a platform provider, and we only provide the entry for ordering and/or using the functional module or service for your convenience. The relevant application shall be provided by the third party independently. Except as otherwise provided by laws and regulations and this Agreement, we shall not assume any responsibility for your use of the application.

4.3.6 我们不对第三方软件或技术提供客服支持，若你需要获取支持，请与第三方联系。

We do not provide customer service support for third-party software or technology. If you need support, please contact the third party.

4.4 责任限制

Limitation of Liability

4.4.1 你理解并同意，在你使用软件的过程中可能会遇到以下情况使服务发生中断。出现下述情况时，我们会及时与相关单位配合进行修复，但是由此给你造成的损失我们将不承担任何责任。

You understand and agree that in the course of your use of the Software, you may encounter the following circumstances that interrupt service. In case of the following circumstances, we will cooperate with the relevant units in time to repair them, but we will not be responsible for the losses caused to you.

4.4.1.1 不可抗力，不可抗力是指不能预见、不能克服并不能避免且对一方或双方造成重大影响的客观事件，包括但不限于自然灾害、政府行为、政策颁布调整、法律法规颁布调整、罢工、动乱等。

Force majeure refers to objective events that are unforeseeable, insurmountable and unavoidable and have a significant impact on one or both parties, including but not limited to natural disasters, government acts, policy promulgation and adjustment, laws and regulations promulgation and adjustment, strikes and disturbances.

4.4.1.2 基础运营商过错，包括但不限于电信部门技术调整、电信/电力线路被他人破坏、电信/电力部门对电信网络/电力资源进行安装、改造、维护。

4.4.1.4 你通过非我们授权的方式使用软件，你操作不当或你的电脑软件、系统、硬件和通信线路出现故障。
You use the software in a manner not authorized by us, you operate improperly or your computer software, system, hardware and communication lines fail.

4.4.1.5 由于无线网络信号不稳定、无线网络带宽小等原因，所引起的登录失败、资料同步不完整、页面打开速度慢等。

Due to unstable wireless network signals, small wireless network bandwidth and other reasons, the login failure, incomplete data synchronization and slow page opening speed are caused.

4.4.1.6 其他非我们过错、我们无法控制或合理预见的情形。

Other circumstances that are not our fault, beyond our control or reasonably foreseeable.

4.4.2 因不可抗力、基础运营商过错、网络安全事故或其他超出当事人可合理掌控范围的事件，造成软件不能使用或任何一方违约，你和我们均无需承担违约责任。但是，受影响一方应尽可能及时通知另一方。如前述事件妨碍协议履行达30天以上的，任一方可提前15天书面通知对方终止协议。因本条款终止协议的，任何一方均无须承担违约责任。

If the software cannot be used or any party breaches the contract due to force majeure, fault of the basic operator, network security accident or other events beyond the reasonable control of the parties, you and we shall not be liable for breach of contract. However, the affected Party shall notify the other Party as promptly as possible. If the above-mentioned events hinder the performance of the agreement for more than 30 days, either party may terminate the agreement by giving a written notice to the other party 15 days in advance. If the agreement is terminated due to this article, neither party shall be liable for breach of contract.

4.4.3 你理解并同意，软件的服务是按照现有技术和条件所能达到的现状提供的，我们对本服务不作任何明示或暗示的保证，包括但不限于对本服务的可适用性、持续性等。我们将尽最大努力确保服务的连贯性和安全性，但我们不能保证其所提供的服务毫无瑕疵。所以你也同意，即使我们提供的服务存在瑕疵，但若上述瑕疵是当时行业技术水平所无法避免的，其将不被视为我们违约，双方应友好协作共同解决问题。

You understand and agree that the software service is provided in accordance with the current situation of the existing technology and conditions, and we do not make any express or implied warranty on the service, including but not limited to the applicability and continuity of the service. We will do our utmost to ensure the continuity and security of the services provided, but we cannot guarantee that the services provided are flaky. Therefore, you also agree that even if there are defects in the services we provide, if the above-mentioned defects cannot be avoided by the technical level of the industry at that time, they will not be regarded as our breach of contract, and both parties shall cooperate in a friendly manner to jointly solve the problem.

4.4.4 在任何情况下，任何一方均不对相对方任何间接性、偶然性、特殊性的损害和损失，包括但不限于可得利益损失、相对方向第三方支付的费用等承担责任（即使该方已经被告知该等损失的可能性）。

Under no circumstances shall either party be liable to the other party for any indirect, incidental or special damages or losses, including but not limited to the loss of available benefits, expenses paid by the other party to a third party, etc. (even if the party has been informed of the possibility of such losses).

4.4.5 法律允许的范围内，针对下述情形，不论我们是否被告知或应察觉此类损害发生的可能，我们不会向你负有任何责任：

To the extent permitted by law, we will not be liable to you for any of the following, whether or not we have been advised of or should have been aware of the possibility of such damages:

4.4.5.1 任何间接性、偶然性、后果性、惩罚性、特殊性或刑罚性的损害和损失承担责任，包括但不限于预期利益、商誉及信誉、机会、数据资料损失、第三方费用。除法律另有明确规定外，任何情况下，我们向你承担损失赔偿责任的金额上限为你发生损失或我们违约的月份，你已经向我们支付的服务费。在法律允许的最大范围内，这些限制和条款适用于与本协议相关的任何事项或任何索赔。

Liability for any indirect, incidental, consequential, punitive, special or penal damages and losses, including, but not limited to, prospective benefits, goodwill and reputation, opportunity, loss of data and information, and third party costs. Except as otherwise expressly provided by law, in any case, our liability to you for damages is capped at the amount of the service fees you have paid to us for the month in which you incurred the loss or we were in default. To the fullest extent permitted by law, these limitations and terms apply to any matter or any claim relating to this Agreement.

4.4.5.2 任何因为以下原因对你造成的损失或损害：

（1）你使用任何第三方产品或服务造成的损害；

（2）我们以任何方式修改、暂停提供本服务或者本服务内任何功能；

（3）你未向我们提供准确的帐号信息，或者你未按照本协议要求保护你的帐号密码安全；（4）其他因为你违反本协议约定的行为导致的损失。

Any loss or damage caused to you as a result of:

(1) damage caused by your use of any third party product or service;

(2) We modify or suspend the provision of the Service or any function in the Service in any way;

(3) You fail to provide us with accurate account information, or you fail to protect your account password security in accordance with the requirements of this Agreement;

(4) Other losses caused by your violation of the agreement.

4.4.6 使用软件及服务由你自己承担风险，我们和/或合作单位对软件及服务不作任何类型的担保，不论是明示的、默示的或法令的保证和条件，包括但不限于软件及服务的适销性、适用性、无病毒、无疏忽或无技术瑕疵问题、所有权、平等受益权和无侵权的明示或默示担保和条件，对在任何情况下因使用或不能使用软件及服务所产生的直接、间接、偶然、特殊及后续的损害及风险，我们和/或合作单位不承担任何责任。任何情况下，我们和/或合作单位都不承担因你使用或不能使用软件及服务所引起的或有关的任何间接的、意外的、特殊的、惩罚性的或其它任何损失的赔偿责任。

The use of the software and services shall be at your own risk, and we and/or our partners shall not make any warranty of any kind, whether express, implied or statutory, with respect to the software and services, including but not limited to the express or implied warranties and conditions of merchantability, applicability, virus free, negligence free or technical defects free, ownership, equal beneficial rights and non-infringement with respect to the software and services, and we and/or our partners shall not be liable for direct, indirect, incidental, special and subsequent damages and risks arising from the use or inability to use the software and services under any circumstances. Under no circumstances shall we and/or the partners be liable for any indirect, accidental, special, punitive or other damages arising from or related to your use or inability to use the software and services.

4.4.7 我们可能在你使用本服务的过程中向你发送、展示广告或其他信息（包括商业或非商业信息），你应当谨慎判断广告等信息的真实性、可靠性。

We may send or display advertisements or other information (including commercial or non-commercial information) to you in the course of your use of the Service, and you shall carefully judge the authenticity and reliability of advertisements and other information.

4.4.8 因你自身原因导致的任何损失或责任，由你自行负责，我们和/或合作单位不承担责任。我们和/或合作单位不承担责任的情形包括但不限于：

（1）你未按照本协议或EC不时公布的任何规则进行操作导致的任何损失或责任；

（2）你未向EC提供正确的联络方式，未能及时收到EC相关通知导致的任何损失或责任；

（3）其他因你自身原因导致的任何损失或责任。

You shall be responsible for any loss or liability caused by your own reasons, and we and/or the cooperative unit shall not be liable. The circumstances under which we and/or the Partnership shall not be liable include, but are not limited to:

(1) any loss or liability arising from your failure to operate in accordance with this Agreement or any rules published by EC from time to time;

(2) Any loss or liability caused by your failure to provide EC with the correct contact information and your failure to receive the relevant notice from EC in a timely manner;

(3) Any other loss or liability caused by you.

4.4.9 在法律允许的最大范围内，你与任何第三方（包括但不限于例如任何移动网络服务商、权利所有者或其他用户）之间因你使用本服务而引起的任何争议都直接与我们无关，我们不承担所有由此类争议引发的任何种类和性质的责任及损失（不论直接或间接）。
To the maximum extent permitted by law, any dispute between you and any third party (including but not limited to, for example, any mobile network service provider, owner of rights or other user) arising from your use of the Service shall have nothing to do with us directly, and we shall not be liable for all liabilities and losses of any kind and nature (whether direct or indirect) arising from such disputes.

4.4.10 维护软件安全与正常使用是我们和你的共同责任，我们将按照行业标准合理审慎地采取必要技术措施保护你的终端设备信息和数据安全，但是你承认和同意我们并不能就此提供完全保证。

It is our common responsibility and yours to maintain the security and normal use of the software, and we will take the necessary technical measures to protect the information and data security of your terminal equipment in a reasonable and prudent manner in accordance with industry standards, but you acknowledge and agree that we cannot provide full assurance in this regard.

4.4.11 使用软件及服务可能存在来自他人匿名或冒名的含有威胁、诽谤、令人反感或非法内容的信息的风险，你须明白并自行承担以上风险，我们和/或合作单位不承担任何责任。我们和/或合作单位禁止所有用户利用软件传播违法违规信息，一经发现立即删除，但不对任何有关信息真实性、适用性、合法性承担责任。

The use of software and services may involve the risk of anonymous or pseudonymous information from others containing threatening, defamatory, offensive or illegal contents. You must understand and bear the above risks by yourself, and we and/or the cooperative unit shall not bear any responsibility. We and/or partners prohibit all users from using the software to disseminate illegal and irregular information, and delete it immediately upon discovery, but shall not be responsible for the authenticity, applicability and legality of any relevant information.

4.4.12 你因第三方如电信部门的通讯线路故障、技术问题、网络、电脑故障、系统不稳定性及其他各种不可抗力原因而遭受的经济损失、个人信息丢失、泄漏等风险，我们不承担任何责任。

We shall not bear any responsibility for the risks of economic losses, personal information loss and leakage suffered by you due to the communication line failure, technical problems, network, computer failure, system instability and other force majeure reasons of third parties such as telecommunications departments.

4.4.13 因第三方服务瑕疵、系统更新与升级、政府部门调查、司法行政命令，以及境内外基础电信运营商的故障、光缆等基础设施损坏、电力供应故障、计算机或互联网相关技术缺陷、互联网覆盖范围限制、计算机病毒、黑客攻击等技术故障类不可抗力事件影响到服务的正常运行的，我们和/或合作单位承诺在第一时间内与相关单位配合，及时处理进行修复，但你因此而遭受的经济损失，我们和/或合作单位不承担任何责任。

If the normal operation of the service is affected by force majeure events such as third-party service defects, system updates and upgrades, government department investigations, judicial administrative orders, as well as faults of domestic and foreign basic telecommunications operators, damage to infrastructure such as optical cables, power supply faults, computer or Internet related technical defects, Internet coverage restrictions, computer viruses, hacker attacks and other technical faults, we and/or the cooperative units promise to cooperate with the relevant units in the first time to deal with and repair them in a timely manner, but we and/or the cooperative units shall not be responsible for the economic losses you suffer as a result.

4.4.14 你通过使用本服务与其他EC用户交往，因受误导或欺骗而导致或可能导致的任何心理、生理上的伤害以及经济上的损失，由过错方依法承担所有责任，一概与我们和/或合作单位无关。4.4.15 我们不承担用户发布的内容被他人转发、分享，因此等传播可能带来的风险和责任。
If you communicate with other EC users through the use of this service, any psychological, physiological injury and economic loss caused or likely to be caused by misleading or cheating shall be borne by the party at fault according to law, and shall have nothing to do with us and/or the cooperative unit. 4. 4. 15 We do not assume the risks and responsibilities that may be caused by the dissemination of the contents published by users, which are forwarded and shared by others.

4.5 信息内容规范

4.5.1 本条所述信息内容是指用户使用软件及服务过程中所制作、复制、发布、传播的任何内容，包括但不限于EC账号或功能账号的个人头像、名字、联系方式、企业信息、客户资料等信息，或发送的文字、语音、图片、视频、表情等信息，以及其他使用EC帐号或功能账号或软件及服务所产生的内容。

The information content mentioned in this article refers to any content produced, copied, published and disseminated by users in the course of using the software and services, including but not limited to the personal portrait, name, contact information, enterprise information, customer information and other information of the EC account or functional account, or the text, voice, picture, video, expression and other information sent, as well as other contents generated by the use of the EC account or functional account or software and services.

4.5.2 你理解并同意，我们一直致力于为用户提供文明健康、规范有序的网络环境。你不得利用EC帐号或功能账号或软件及服务制作、复制、发布、传播如下干扰软件正常运营，以及侵犯其他用户或第三方合法权益的内容，包括但不限于：

You understand and agree that we have been committed to providing users with a civilized, healthy, standardized and orderly network environment. You shall not use the EC account or functional account or software and services to produce, copy, publish or disseminate the following contents that interfere with the normal operation of the software and infringe upon the legitimate rights and interests of other users or third parties, including but not limited to:

4.5.2.1 发布、传送、传播、储存违反法律法规禁止的内容：（1）违反中华人民共和国宪法和法律确定的基本原则的；（2）危害中华人民共和国国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的；（3）损害国家荣誉和利益的；（4）煽动民族仇恨、民族歧视，破坏民族团结的；（5）破坏国家宗教政策，宣扬邪教和封建迷信的；（6）散布谣言，扰乱社会秩序，破坏社会稳定的；（7）散布淫秽、色情、赌博、暴力、恐怖或者教唆犯罪的；（8）侮辱或者诽谤他人，侵害他人合法权益的；（9）煽动非法集会、结社、游行、示威、聚众扰乱社会秩序；（10）以非法民间组织名义活动的；（11）含有法律法规法规禁止的其他内容的。

Publishing, transmitting, disseminating or storing contents prohibited by laws and regulations: (1) Violating the Constitution of the People’s Republic of China and the basic principles determined by laws; (2) Endangering the national security of the People’s Republic of China, divulging state secrets, subverting state power and undermining national unity; (3) Damaging the honor and interests of the state; (4) Inciting national hatred or discrimination and undermining national unity; (5) Destroying the religious policy of the State and propagating cults and feudal superstitions; (6) Disseminating rumors, disturbing social order and undermining social stability; (7) Disseminating obscenity, pornography, gambling, violence, terrorism or abetting crime; (8) Insulting or slandering others and infringing upon their legitimate rights and interests; (9) Inciting illegal assembly, association, procession, demonstration or gathering people to disturb public order; (10) Engaging in activities in the name of illegal non-governmental organizations; (11) Containing other contents prohibited by laws, regulations and rules.

4.5.2.2 发布、传送、传播、储存侵害他人名誉权、肖像权、知识产权、商业秘密等合法权利的内容；

Publish, transmit, disseminate and store contents that infringe upon the legitimate rights of others, such as reputation rights, portrait rights, intellectual property rights and trade secrets;

4.5.2.3 涉及他人隐私、个人信息或资料的；

4.5.2.4 发表、传送、传播骚扰、广告信息、过度营销信息及垃圾信息或含有任何性或性暗示的；

Publishing, transmitting, disseminating harassment, advertising information, excessive marketing information and garbage information or containing any sexual or sexual implication;

4.5.2.5 其他违反法律法规或干扰软件正常运营和侵犯其他用户或第三方合法权益内容的信息。

Other information that violates laws and regulations or interferes with the normal operation of the software and infringes upon the legitimate rights and interests of other users or third parties.

4.5.2.6 你如果存在上述任意情形的，我们有权随时单方禁用你的账户或者单方终止你对EC的使用、单方终止你所在企业与我们签署的产品服务合同、拒绝为你提供EC剩余服务期限、服务支持等，并且我们不退还你所在企业已支付的费用。

If you have any of the above circumstances, we have the right to unilaterally disable your account or unilaterally terminate your use of EC at any time, unilaterally terminate the product service contract signed between your enterprise and us, refuse to provide you with the remaining service period and service support of EC, and we will not refund the fees paid by your enterprise.

4.5.2.7 你因存在上述任意情形而产生的后果均由你自行承担，我们对此不承担任何责任。如因你行为造成我们损失的，你应承我们由此遭受的一切直接和间接经济损失，包括但不限于我们方支出的诉讼费、律师费、差旅费、鉴定费等一切相关费用。4.6 中止或终止提供服务的情形你理解并同意，基于法律要求、用户体验、EC或相关服务平台运营安全、平台规则要求及健康发展等综合因素，我们有权选择提供服务的对象，有权决定功能设置，有权决定功能开放、数据接口和相关数据披露的对象和范围。如果你存在以下情形，我们有权视具体情况中止或终止提供服务，包括但不限于：
You shall bear the consequences arising from the existence of any of the above circumstances, and we shall not bear any responsibility for it. If our losses are caused by your acts, you shall bear all direct and indirect economic losses suffered by us, including but not limited to litigation fees, attorney fees, travel expenses, appraisal fees and other related expenses paid by us. 4.6 Circumstances of suspending or terminating the provision of services You understand and agree that, based on comprehensive factors such as legal requirements, user experience, EC or related service platform operation safety, platform rule requirements and healthy development, we have the right to choose the object of providing services, to decide on functional settings, and to decide on the object and scope of functional opening, data interface and related data disclosure. We have the right to suspend or terminate the provision of services according to the specific circumstances if you have the following circumstances, including but not limited to:

4.6.1. 违反法律法规或本协议规定的；

Violating laws and regulations or the provisions of this Agreement;

4.6.2. 影响服务体验的；

Affecting the service experience;

4.6.3. 存在安全隐患的（包括但不限于对你自身或第三方人身、财产构成安全隐患的，对公共安全构成安全隐患的等情形）；

There are potential safety hazards (including but not limited to those that constitute potential safety hazards to your own or third party’s personal and property, and those that constitute potential safety hazards to public safety);

4.6.4. 违背EC或其服务平台运营原则，或不符合我们其他管理要求的；

Violating the operation principles of EC or its service platform, or failing to meet our other management requirements;

4.6.5. 制作、发布、使用、传播用于窃取EC帐号、功能账号及他人个人信息、财产的恶意程序；

Making, publishing, using and disseminating malicious programs used to steal EC accounts, functional accounts and other people’s personal information and property;

4.6.6. 删除软件及其副本上关于著作权的信息、内容；

Deleting the copyright information and contents on the software and its copies;

4.6.7. 对软件进行反向工程、反向汇编、反向编译，或者以其他方式尝试发现软件的源代码；

Reverse engineer, reverse assemble, reverse compile, or otherwise attempt to discover the source code of the software;

4.6.8. 对我们拥有知识产权的内容进行使用、出租、出借、复制、修改、链接、转载、汇编、发表、出版、建立镜像站点、擅自借助软件发展与之有关的衍生产品、作品、服务等；

To use, lease, lend, duplicate, modify, link, reprint, compile, publish, publish, establish mirror sites for the contents of our intellectual property rights, and develop derivative products, works and services related to them without authorization with the help of software;

4.6.9. 对软件或者软件运行过程中释放到任何终端内存中的数据、软件运行过程中客户端与服务器端的交互数据，以及软件运行所必需的系统数据，进行复制、修改、增加、删除、挂接运行或创作任何衍生作品，形式包括但不限于使用插件、外挂或非我们经授权的第三方工具/服务接入软件和相关系统；

Copy, modify, add, delete, hook up or create any derivative works of the software or the data released into the memory of any terminal during the operation of the software, the interactive data between the client and the server during the operation of the software, and the system data necessary for the operation of the software, including but not limited to the use of plug-in, plug-in or non-authorized third-party tools/services to access software and related systems;

4.6.10. 将有关干扰、破坏或限制任何计算机软件、硬件或通讯设备功能的软件病毒或其他计算机代码、档案和程序之资料，以上载、发送电子邮件或以其他方式传送；

Uploading, sending e-mails or otherwise transmitting information on software viruses or other computer codes, files and programs that interfere with, damage or restrict the functions of any computer software, hardware or communication equipment;

4.6.11. 干扰或破坏本服务或与本服务相连线之服务器和网络，或违反任何关于本服务连线网络之规定、程序、政策或规范；

Interfering with or destroying the service or the servers and networks connected to the service, or violating any regulations, procedures, policies or norms concerning the network connected to the service;

4.6.12. 通过修改或伪造软件运行中的指令、数据，增加、删减、变动软件的功能或运行效果，或者将用于上述用途的软件、方法进行运营或向公众传播，无论这些行为是否为商业目的；

Adding, deleting or altering the functions or operating effects of software by modifying or forging instructions or data in the operation of software, or operating or disseminating to the public software or methods used for the above-mentioned purposes, whether or not such acts are for commercial purposes;

4.6.13. 通过非我们开发、授权的第三方软件、插件、外挂、系统，登录或使用我们软件及服务，或制作、发布、传播上述工具；

Log in or use our software and services through third-party software, plug-in, plug-in or system not developed or authorized by us, or make, publish or disseminate the above-mentioned tools;

4.6.14. 自行或者授权他人、第三方软件对软件及其组件、模块、数据进行干扰；

Interfering with the software and its components, modules and data by itself or by authorizing others or third-party software;

4.6.15. 提交、发布虚假信息，或冒充、利用他人名义的；

Submitting or publishing false information, or impersonating or using the name of others;

4.6.16. 诱导其他用户点击链接页面或分享信息的；

Inducing other users to click on linked pages or share information;

4.6.17. 虚构事实、隐瞒真相以误导、欺骗他人的；

Fabricating facts or concealing the truth to mislead or deceive others;

4.6.18. 侵害他人名誉权、肖像权、知识产权、商业秘密等合法权利的；

Infringing upon the legitimate rights of others such as reputation rights, portrait rights, intellectual property rights and business secrets;

4.6.19. 未经我们书面许可利用EC帐号和任何功能，以及第三方运营平台进行推广或互相推广的；

Using the EC account and any functions, as well as third-party operating platforms, for promotion or mutual promotion without our written permission;

4.6.20. 利用EC帐号或软件及服务发表、传送、传播、储存违反国家法律、危害国家安全、祖国统一、社会稳定的内容，或任何不当的、侮辱诽谤的、淫秽的、暴力的及任何违反法律法规政策的内容；

Publish, transmit, disseminate and store contents that violate national laws, endanger national security, national unity and social stability, or any improper, insulting, slandering, obscene, violent and any contents that violate laws, regulations and policies by using EC accounts or software and services;

4.6.21. 利用EC帐号或软件及服务从事任何违法犯罪活动的；制作、发布与以上行为相关的方法、工具，或对此类方法、工具进行运营或传播，无论这些行为是否为商业目的；
Using EC accounts or software and services to engage in any illegal or criminal activities; Making, publishing, operating or disseminating methods or tools related to the above acts, whether or not such acts are for commercial purposes;

4.6.22. 利用EC账号或软件及服务进行任何危害计算机网络安全的行为，包括但不限于：使用未经许可的数据或进入未经许可的服务器/账户；未经允许进入公众计算机网络或者他人计算机系统并删除、修改、增加存储信息；未经许可，企图探查、扫描、测试本服务系统或网络的弱点或其它实施破坏网络安全的行为；企图干涉、破坏本服务系统或网站的正常运行，故意传播恶意程序或病毒以及其他破坏干扰正常网络信息服务的行为；伪造TCP/IP数据包名称或部分名称；

Using EC accounts or software and services to commit any act that endangers computer network security, including but not limited to: using unauthorized data or entering unauthorized servers/accounts; Entering the public computer network or other people’s computer system without permission and deleting, modifying or adding stored information; Without permission, attempting to explore, scan or test the weakness of the service system or network or other acts that undermine network security; Attempts to interfere with or disrupt the normal operation of the service system or website, intentionally spreads malicious programs or viruses, and other acts that disrupt and interfere with normal network information services; Forgery of the name or part of the name of the IP packet;

4.6.23. 其他违反法律法规规定、侵犯其他用户合法权益、干扰产品正常运营或我们未明示授权的行为。

Other acts that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of products or that we do not expressly authorize.

4.7 违约处理

Default Handling

4.7.1你理解并同意，你必须为自己注册帐号下的一切行为负责，包括你所发表的任何内容以及由此产生的任何后果。你应对本服务中的内容自行加以判断，并承担因使用内容而引起的所有风险，包括因对内容的正确性、完整性或实用性的依赖而产生的风险。我们无法且不会对因前述风险而导致的任何损失或损害承担责任。我们并无义务预审、监控、审查或编辑你和其他用户在本服务上撰写或发布的任何内容，你查看他人在本服务提供的内容时，应自行判断并承担相关风险。未经相关权利人的明示同意，你不得为任何目的使用、复制、转载、传播、播放、展示、出售、许可或其他未明示允许的方式使用该等内容。
You understand and agree that you must be responsible for all acts under your registered account, including any contents you publish and any consequences arising therefrom. You shall exercise your own judgment on the contents of the Services and bear all risks arising from the use of the contents, including risks arising from reliance on the correctness, completeness or practicability of the contents. We cannot and will not be liable for any loss or damage caused by the aforementioned risks. We are not obliged to prejudge, monitor, review or edit any content written or published by you and other users on the Service, and you shall make your own judgment and bear the relevant risks when viewing the content provided by others on the Service. Without the express consent of the relevant obligee, you shall not use, reproduce, reproduce, disseminate, broadcast, display, sell, license or otherwise use such content without express permission for any purpose.

4.7.2 如果我们发现或收到他人举报或投诉用户违反本协议约定的，我们有权不经通知随时对相关内容进行删除、屏蔽，并视行为情节对违规主体相关帐号处以包括但不限于警告、限制或禁止使用部分或全部功能、帐号封禁直至注销的处理，并公告处理结果。我们有权依合理判断对违反有关法律法规或本协议规定的行为进行处理，对违法违规的任何用户采取适当的法律行动，并依据法律法规保存有关信息向有关部门报告等，用户应自行承担由此而产生的一切法律责任。

If we find or receive reports or complaints from others that the user violates the agreement, we have the right to delete or block the relevant contents at any time without notice, and impose sanctions on the relevant account of the violator, including but not limited to warnings, restrictions or prohibitions on the use of part or all of the functions, account blocking or even cancellation, depending on the circumstances of the act, and announce the results. We have the right to deal with violations of relevant laws and regulations or the provisions of this Agreement in accordance with reasonable judgment, take appropriate legal action against any user who violates laws and regulations, and keep relevant information to report to the relevant departments in accordance with laws and regulations, and the user shall bear all legal liabilities arising therefrom.

4.7.3 因你违反本协议或相关服务条款的规定，导致或产生第三方主张的任何索赔、要求或损失，你应当自行承担责任.对于你违法或违反本协议的使用而导致我们和/或合作单位损失的，我们和/或合作单位有权要求你赔偿，并有权立即停止提供服务，保留相关记录，保留配合司法机关追究法律责任的权利。
You shall be liable for any claim, demand or loss claimed by a third party due to your violation of the provisions of this Agreement or the relevant service terms. If you violate the law or violate the use of this Agreement and cause losses to us and/or the cooperative unit, we and/or the cooperative unit shall have the right to claim compensation from you, and shall have the right to immediately stop providing services, keep relevant records, and reserve the right to cooperate with judicial organs in investigating legal liability.

5. 知识产权声明

Intellectual Property Declaration

5.1 我们是EC软件的知识产权权利人。软件的一切著作权、商标权、专利权、商业秘密等知识产权，以及与软件相关的所有信息内容（包括但不限于文字、图片、音频、视频、图表、界面设计、版面框架、有关数据或电子文档等）均受法律法规和相应的国际条约保护，我们享有上述知识产权，但相关权利人依照法律规定应享有的权利除外。

We are the intellectual property owners of EC Software. All intellectual property rights such as copyright, trademark right, patent right and trade secret of the software, as well as all information contents related to the software (including but not limited to text, pictures, audio, video, charts, interface design, layout framework, relevant data or electronic documents, etc.) are protected by laws and regulations and corresponding international treaties. We enjoy the above-mentioned intellectual property rights, except for the rights that the relevant obligees should enjoy in accordance with the law.

5.2 未经我们或相关权利人书面同意，你不得为任何商业或非商业目的自行或许可任何第三方实施、利用、转让上述知识产权。

Without the written consent of us or the relevant obligee, you shall not implement, utilize or transfer the above-mentioned intellectual property rights by yourself or by licensing any third party for any commercial or non-commercial purpose.

5.3 你使用软件及服务过程中上传、发布的全部内容，均不会因为上传、发布行为发生知识产权、肖像权等权利的转移。与此同时，你理解并同意我们为实现产品目的，对你发布的特定公开非保密内容在法律允许的范围内进行使用，包括但不限于予以存储、向有关用户播放、供有关用户获取及再次使用等。

All the contents uploaded and published by you in the process of using the software and services will not be transferred due to the uploading and publishing of intellectual property rights, portrait rights and other rights. At the same time, you understand and agree that we shall use the specific public and non-confidential contents published by you within the scope permitted by law for the purpose of realizing the product, including but not limited to storing, broadcasting to relevant users, obtaining and re-use by relevant users, etc.

5.4 除本协议有明确规定外，本协议并未对利用本服务访问的我们或合作单位的其他服务规定相关的服务条款，对于有关服务可能有单独的服务条款加以规范，请你在使用有关服务时另行了解与确认。如你使用该服务，视为对相关服务条款的接受。

Except as expressly provided in this Agreement, this Agreement does not stipulate relevant service terms for other services of us or cooperative units accessed by using this Service. There may be separate service terms for relevant services to regulate them. Please understand and confirm separately when using the relevant services. If you use the service, you are deemed to have accepted the relevant terms of service.

5.5 你应当和我们同样尊重知识产权。作为使用本服务的先决条件，你同意不会在使用本服务的过程中侵犯任何主体的知识产权（包括但不限于未经同意即擅自上传或分享他人受著作权法保护的材料）。

You should respect intellectual property rights as much as we do. As a condition precedent to the use of the Service, you agree not to infringe upon the intellectual property rights of any subject in the course of using the Service (including but not limited to uploading or sharing materials protected by copyright law by others without consent).

5.6 你理解并同意授权我们在宣传和推广中使用你的名称、商标、标识，但仅限于表明你属于我们的客户或合作伙伴。

You understand and agree to authorize us to use your name, trademark or logo in publicity and promotion only to indicate that you belong to our customers or partners.

5.7 本协议未明示授权的其他一切权利仍归我们所有，你使用其他权利时须另外取得我们的书面同意。

All other rights not expressly authorized in this Agreement shall remain with us, and your use of other rights shall be subject to our separate written consent.

6. 数据处理规范

Data processing specifications

6.1如你所在的企业或非法人组织与我们就EC产品及其服务的采购与使用已签署相关业务协议，你知晓并确认，我们依照严格的合规标准从事经营活动，数据安全是我们合规要求的重要方面之一。同时，我们寻求向你在使用EC产品及其服务的过程中以同样方式共同遵守相关法律法规的要求，保护你披露、使用、存储或提供的各项数据（含个人信息，以下统称“数据”），并按照相关法律法规的要求开展数据处理活动。你特此确认并承诺如下事项。

If your enterprise or unincorporated organization has signed a relevant business agreement with us on the purchase and use of EC products and services, you know and confirm that we engage in business activities in accordance with strict compliance standards, and data security is an important aspect of our compliance requirements. At the same time, we seek to jointly comply with the requirements of relevant laws and regulations in the same way with you in the use of EC products and their services, protect all data (including personal information, hereinafter referred to as “data”) disclosed, used, stored or provided by you, and carry out data processing activities in accordance with the requirements of relevant laws and regulations. You hereby confirm and undertake the following.

6.1.1访问和获取。你应将数据的访问和获取权限限定在确有必要知悉数据且已明确书面同意履行本协议项下数据处理要求的人员。

Access and Access. You shall restrict access to and access to data to persons who have a genuine need to know the data and have expressly agreed in writing to perform the data processing requirements under this Agreement.

6.1.2数据提供。你承诺并保证，你已经知晓并同意我们处理个人信息的目的、处理方式和种类。

Data provision. You undertake and warrant that you have known and agreed to the purpose, manner and type of processing of personal information by us.

你承诺并保证：你向我们提供的数据或使用EC产品及其服务处理的数据是真实、准确、完整的，且数据系通过合法、正当的方式获取，并非以窃取或以其他非法方式获取数据。你向我们提供数据或使用EC产品及其服务处理数据不会危害国家安全、公共利益，不会损害个人、组织的合法权益。

You undertake and warrant that the data you provide to us or the data processed with EC products and their services are true, accurate and complete, and that the data was obtained in a legal and proper manner, not by theft or other illegal means. Your provision of data to us or the use of EC products and their services to process data will not endanger national security, public interests, or harm the legitimate rights and interests of individuals and organizations.

本协议项下，你在使用EC产品及其服务时，你同意授权和委托我们按照如下所述处理你收集和提供的数据。

When you use the EC Products and their Services under this Agreement, you agree to authorize and entrust us to process the data you collect and provide as follows.

6.1.3个人信息保护影响评估。你应当按照法律法规的要求，在适用的情形下完成对数据处理活动的个人信息保护影响评估。

Personal Information Protection Impact Assessment. You shall complete an assessment of the impact of personal information protection on data processing activities, where applicable, in accordance with the requirements of laws and regulations.

6.1.4记录与审查。你应当对数据处理情况进行记录（“数据处理记录”），数据处理记录的内容应当包括处理数据的种类、处理目的、处理方式以及采取的保护措施等，并且应当将该等数据处理记录至少保存三年。

Records and review. You shall record the data processing (“data processing records”), which shall include the type of data processed, the purpose of processing, the method of processing and the protective measures taken, and shall keep such data processing records for at least three years.

6.1.5权利主张响应。你应根据相关法律法规的要求履行个人信息主体权利请求响应义务，包括但不限于查阅权、更正权、删除权以及撤回同意权等。当你收到或知悉任何个人信息主体的权利主张或投诉时，如需我们协助处理，应立即告知我们；当我们需要你协助处理个人信息主体的权利主张或投诉时，你应积极配合。

Claims Response. You shall perform the obligation to respond to the right request of the personal information subject in accordance with the requirements of relevant laws and regulations, including but not limited to the right to consult, correct, delete and withdraw consent. When you receive or become aware of the claims or complaints of any personal information subject, you shall immediately inform us if we are required to assist in handling them; When we need your assistance in handling the claims or complaints of personal information subjects, you should cooperate actively.

6.1.6数据安全事件。在发生数据泄露、被篡改、丢失等安全事件时，你应当立即通知我们，并根据我们要求采取补救措施以有效避免数据安全事件对数据主体造成任何损害。

Data Security Events. In the event of security incidents such as data leakage, tampering and loss, you should immediately notify us and take remedial measures according to our requirements to effectively avoid any damage to the data subject caused by data security incidents.

6.1.7数据的返还或销毁。你知悉并同意，当你与我们签署的相关业务协议终止、不生效或被撤销时：

Return or destruction of data. You understand and agree that when the relevant business agreement signed between you and us is terminated, invalid or revoked:

6.1.7.1对于管理员账号以及员工账号的使用人的个人信息的删除方式，请见《EC隐私政策》。

Please refer to the EC Privacy Policy for the method of deleting the personal information of the user of the administrator account and the employee account.

6.1.7.2对于你在使用EC产品及其服务时存储、使用或处理的数据，为便于续费EC产品及其服务，我们将继续保留该等数据6个月；6个月期限届满后，如你不再继续使用相关产品/服务，我们将删除你以及你所在的法人或非法人组织在使用EC产品及其服务中涉及处理个人信息功能中录入的全部个人信息，对于其他类型数据（不含个人信息），受限于技术原因，你需要自行使用EC产品及其服务进行删除：如你是管理员，可在企业管理后台自行删除；如你不主动删除，表明同意并授权我们将该等数据进行封闭存储，我们不再对该等数据进行主动访问或使用。

For the data stored, used or processed by you when using EC products and services, we will continue to keep such data for 6 months in order to facilitate the renewal of EC products and services; After the expiration of the six-month period, if you no longer use the relevant products/services, we will delete all the personal information entered by you and your juridical person or unincorporated organization in the use of EC products and services involving the processing of personal information. For other types of data (excluding personal information), due to technical reasons, you need to use EC products and services by yourself to delete them: If you are an administrator, you may delete them by yourself in the background of enterprise management; If you do not voluntarily delete it, it means that you agree and authorize us to store such data in a closed manner, and we will no longer actively access or use such data.

6.1.7.3对于某些特定功能下的数据（不含个人信息），你无法自行使用EC产品及其服务进行删除，如需要删除需与我们取得联系，我们将在15个工作日内响应。

For data (excluding personal information) under certain specific functions, you cannot delete it by using EC products and services on your own. If you need to delete it, you need to contact us, and we will respond within 15 working days.

6.1.8无法遵守。如果你无法遵守本协议数据处理规范的相关义务，你应立即书面通知我们。在此情况下，你和我们应尽其最大努力补救该情况。

Failure to Comply. If you are unable to comply with the relevant obligations of the data processing specifications of this Agreement, you shall immediately notify us in writing. Under such circumstances, you and we should do our best to remedy the situation.

6.1.9你理解并同意我们将会尽其商业上的合理努力保障你在EC软件中的数据存储安全，但是，我们并不能就此提供绝对保证，包括但不限于以下情形：我们不对你在EC软件中相关数据的删除或储存失败负责；我们有权根据实际情况自行决定单个用户在EC软件中数据的最长储存期限，并在服务器上为其分配数据最大存储空间等。你可根据自己的需要自行备份软件及服务中的相关数据。

You understand and agree that we will use our commercially reasonable efforts to ensure the security of your data storage in the EC Software, but we cannot provide absolute assurance in this regard, including but not limited to the following circumstances: We shall not be responsible for the deletion or failure of your relevant data storage in the EC Software; We have the right to decide on the maximum storage period of data in EC software for a single user according to the actual situation, and allocate the maximum storage space for data on the server. You can back up the relevant data in the software and services according to your own needs.

6.1.10法律责任。对于你向我们提供的数据或者使用产品/服务处理的数据，你应当作为数据处理者/个人信息处理者（视适用情况），对数据处理活动承担相应的法律责任。如果你违反本协议的规定，导致我们遭受任何损失的（包括但不限于，相关数据主体向我们提出权利主张/侵权索赔等导致我们被判令/责令向该等数据主体支付赔偿金，以及我们在相关民事、行政、刑事程序中产生的律师费、诉讼费、执行费等），你应负责赔偿我们。

Legal liability. You, as a data processor/personal information processor (as applicable), shall bear corresponding legal liability for data processing activities with respect to the data you provide to us or process with products/services. If you violate the provisions of this Agreement and cause us to suffer any losses (including but not limited to, the relevant data subjects filing claims/infringement claims against us, resulting in our being ordered/ordered to pay compensation to such data subjects, as well as the attorney’s fees, litigation fees and enforcement fees incurred by us in the relevant civil, administrative and criminal proceedings), you shall be responsible for compensating us.

7. 总则

General Provisions

7.1 通知。发送给任何一方的通知，在当面递交或通过电子邮件发送、通过隔夜快递发送一天后、或通过一等邮件预付邮资发送到双方指定的官方联络人两天后、以及另一方的服务器收到后立即生效。通知必须以书面形式发送：(i)如果是给EC的，则发送到本协议中规定的地址；(ii)如果是给客户的，则发送到EC与客户有关的现有邮政地址或电子邮件地址。EC可通过在EC网站上发布新的联系信息或通知客户来更改其联系信息。客户有责任通过EC平台保持其在EC存档的联系信息在有效期内始终是最新的。

Notices. Notices sent to either Party will be effective when delivered in person or by email, one day after being sent by overnight courier, or two days after being sent by first-class mail postage prepaid to the official contact designated by the Parties and immediately after being received by the other Party’s server. Notices must be in writing and sent: (i) if to EC, to the address set out in the introductory paragraph of this Agreement; and (ii) if to Customer, to the current postal or email address that EC has on file with respect to Customer. EC may change its contact information by posting the new contact information on the EC Website or by giving notice thereof to Customer. Customer is solely responsible for keeping its contact information on file with EC through the EC Platform current at all times during the Term.

7.2 适用法律及争议解决。本协议签订地为中华人民共和国香港特别行政区。本协议的成立、生效、履行、解释及纠纷解决，适用中华人民共和国香港特别行政区法律（不考虑法律冲突原则）。若你和我们之间发生任何纠纷或争议，首先应友好协商解决；协商不成的，你同意将纠纷或争议提交我们所在地的法院管辖。

Applicable Law and Dispute Resolution. This Agreement is signed in the Hong Kong Special Administrative Region of the People’s Republic of China. The establishment, effectiveness, performance, interpretation and dispute settlement of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (without taking into account the principle of conflict of laws). If any dispute or controversy arises between you and us, it shall first be settled through friendly consultation; If consultation fails, you agree to submit the dispute or dispute to the jurisdiction of the court where we are located.

7.3 转让。未经我们事先书面同意，你不得向任何第三方转让你在本协议项下的任何权利或义务。你理解并同意，我们有权自主决定经营策略并根据业务调整情况将本协议项下的全部权利义务一并转移给我们的关联公司或其他法律主体，你认可在上述情况下，我们无须征得你的同意，我们将尽量以合理的方式向你通知。

Assignment. You shall not assign any of your rights or obligations under this Agreement to any third party without our prior written consent. You understand and agree that we have the right to independently decide on our business strategy and transfer all the rights and obligations under this Agreement to our affiliates or other legal subjects according to the business adjustment. You agree that in the above circumstances, we do not need to obtain your consent, and we will notify you in a reasonable manner as far as possible.

7.4 解释。除非本协议另有规定，否则双方在本协议项下的权利和补救措施是累积的。术语“包括”指“包括但不限于”。本协议所有条款的标题仅为阅读方便，本身并无实际涵义，不能作为本协议涵义解释的依据。本协议中与 EC 有关的术语 “同意 “是指 EC 在适用情况下任意拒绝给予此类同意的权利，且不隐含任何合理行事或向客户解释其决定的义务。

Construction. Except as otherwise provided in this Agreement, the Parties rights and remedies under this Agreement are cumulative. The term “include” and “including” mean, respectively, “include without limitation”and “including without limitation.”The headings of all clauses of this Agreement are for convenience of reading only and have no actual meaning in themselves, and shall not be used as the basis for the interpretation of the meaning of this Agreement. The terms“consent”, when used in respect of EC in this Agreement means the right of EC to withhold such consent, as applicable, arbitrarily and without any implied obligation to act reasonably or explain its decision to Customer.

7.5 可分割。任何被有管辖权的仲裁庭或法院认定为非法或不可执行的本协议条款都将从本协议中删除，而本协议的所有其他条款仍将完全有效。

Any provision of this Agreement found by a tribunal or court of competent jurisdiction to be illegal or unenforceable will be severed from this Agreement, and all other provisions of this Agreement will remain in full force and effect.

7.6 独立主体。客户与EC的关系是独立的，任何一方都不是另一方的代理人或合作伙伴。客户不会拥有，也不会向任何第三方表示其拥有代表EC行事的任何权力。

Independent Contractors. Customer’s relationship to EC is that of an independent contractor, and neither Party is an agent or partner of the other. Customer will not have, and will not represent to any third party that it has, any authority to act on behalf of EC.

7.7 我们不行使、未能及时行使或者未充分行使本协议或者按照法律规定所享有的权利，不应被视为放弃该权利，也不影响EC在将来行使该权利。我们并不放弃本协议中未提及的在法律适用的最大范围内EC享有的限制、免除或抵消EC损害赔偿责任的任何权利。

Our failure to exercise, or our failure to exercise in a timely manner, or our failure to fully exercise the rights under this Agreement or under the law shall not be deemed a waiver of such rights, nor shall it affect EC‘s future exercise of such rights. We do not waive any right of EC not mentioned in this Agreement to limit, exempt or set off EC‘s liability for damages to the maximum extent applicable by law.

7.8 完整协议。本协议构成双方关于本协议主题事项的完整协议，并取代所有其他书面或口头通信。

Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter of this Agreement and supersedes all other communications, whether written or oral.

7.9 修订。为给你提供更好的服务或因法律法规、政策调整、技术条件、产品功能等变化需要，我们有权在必要时修改本协议条款。我们可能会以包括但不限于在相关服务页面展示、网页公告、网页提示、电子邮箱、用户注册使用本服务的帐号管理系统内发送站内信等方式中的一种或多种，向你送达关于本服务的各种规则、通知、提示等信息，你可以在软件的最新版本中查阅相关协议条款。本协议条款变更后，如果你继续使用软件，即视为你已接受修改后的协议。如果你不接受修改后的协议，应当停止使用软件。你同意，任何由于电子邮箱等信息错误或其他不可归咎于我们的原因，导致你未收到相关规则、通知、提示等信息的，均不影响该等信息对你所产生的法律效力，且你应受其约束，由此产生的一切后果及责任由你自行承担。

Amendments. In order to provide you with better services or meet the needs of changes in laws and regulations, policy adjustments, technical conditions and product functions, we have the right to amend the terms of this Agreement when necessary.
